GoogleWorkspace(Online)Agreement Thisisnotthecurrentversionofthisdocumentandisprovidedforarchivalpurposes. Viewthecurrentversionhere.IfyouorderedtheServicesbeforeDec21st2020,thesechangeswill onlytakeeffectatthebeginningofyournextOrderTerm,atwhichtimeyourcontinued useoftheServiceswillconstituteyouracceptanceofthechanges. GototheAdditionalTermsforservicesmadeavailablewiththe newaccountsinfrastructure. ThisGoogleWorkspace(Online)Agreement(the'Agreement')isenteredintobetween Googleandtheentityagreeingtotheseterms('Customer'). 'Google'means(i)GoogleVoiceCanada Corporation,withofficesat44ChipmanHill,Suite1000,Saint John,NewBrunswickE2L2A9Canada,withrespectonlytoGoogle VoiceServiceswheretheCustomer’sbillingaddressisinCanadaand(ii)GoogleLLC, withofficesat1600AmphitheatreParkway,MountainView,California94043withrespect toallotherGoogleWorkspaceServices.ThisAgreementiseffectiveasofthe datewhenyouclickthe'IAccept'buttonbelowor,ifapplicable,thedatewhenthe Agreementiscountersigned(the'EffectiveDate').Ifyouareacceptingonbehalfof youremployeroranotherentity,yourepresentandwarrantthat:(i)youhavefull legalauthoritytobindyouremployerortheapplicableentitytotheseterms;(ii)you havereadandunderstandthisAgreementand(iii)youagreeonbehalfofthepartythat yourepresenttothisAgreement.Ifyoudon'thavethelegalauthoritytobindyour employerortheapplicableentitypleasedonotclickthe'IAccept'buttonbelow(or, ifapplicable,donotsignthisAgreement).ThisAgreementgovernstheCustomer's accesstoanduseoftheServicesasorderedintheapplicableOrderForm. 1.Services.Googlewill providetheServicesorderedintheapplicableOrderForminaccordancewiththe applicableSLA.TheCustomermayusetheServicesorderedintheapplicableOrderForm inaccordancewiththisAgreement. 1.1FacilitiesandData Transfer.AllfacilitiesusedtostoreandprocessCustomerDatawill adheretoreasonablesecuritystandardsnolessprotectivethanthesecurity standardsatfacilitieswhereGooglestoresandprocessesitsowninformationofa similartype.AspartofprovidingtheServices,Googlemaytransfer,storeand processtheCustomerDataintheUnitedStatesoranyothercountryinwhichGoogle oritsagentsmaintainfacilities.ByusingtheServices,theCustomerconsentsto thistransfer,processingandstorageofCustomerData. 1.2Noads. NotwithstandinganyothertermoftheAgreement,Googlewillnotprocessthe CustomerDataforAdvertisingpurposesorserveAdvertisingintheServices. 1.3Newfeaturesor services.Googlemaymakenewapplications,featuresorfunctionalityfor theServicesavailablefromtimetotime,theuseofwhichmaybecontingentupon Customer’sagreementtoadditionalterms. 1.4Verificationtouse Services.TheCustomermustverifyaDomainEmailAddressoraDomainName tousetheServices.IftheCustomerdoesnothavevalidpermissiontousethe DomainEmailAddressordoesnotownorcontroltheDomainName,thenGooglewill havenoobligationtoprovidetheCustomerwiththeServicesandmaydeletethe Accountwithoutnotice. 1.5Services-specific terms.TheService-SpecificTermsareincorporatedbythisreferenceinto theAgreement. 2.Modifications. 2.1Modificationsto Services. (a)Deprecation Policy.GooglewillnotifytheCustomeratleast12monthsbeforea SignificantDeprecationunlessGooglereasonablydeterminesthat:(i)Googleis notpermittedtodosobylaworbycontract(includingifthereisachangein applicablelaworcontract)or(ii)continuingtoprovidetheServicethatis subjecttotheSignificantDeprecationcouldcreatea(A)securityriskor(B) substantialeconomicortechnicalburden. (b)(Other modifications.SubjecttoSection2.1(a)(DeprecationPolicy),Google maymakechangestotheServices,whichmayincludeadding,updatingor discontinuinganyServicesorportionsoffeature(s)oftheServices.Google willnotifytheCustomerofanymaterialchangetotheCoreServices. 2.2ModificationstoURL Terms. (a)ChangestoURL Terms.GooglemaychangetheURLTerms,subjecttoSection2.2(d) (Objectiontochanges). (b)Notificationofmaterial changes.GooglewillnotifytheCustomerofanymaterialchangetothe URLTerms. (c)Whenchangestake effect.MaterialchangestotheURLTermswillbecomeeffective30 daysafterthenoticeisgiven,exceptthat(i)materiallyadverseSLAchanges willbecomeeffective90daysafternoticeisgivenand(ii)changesapplicable tonewServicesorfunctionalitywillbeeffectiveimmediately. (d)Objectionto changes.UnlessGoogle’schangetotheURLTermsisrequiredbya court,judicialoradministrativeorderissuedbythecompetentauthority,or byapplicablelaw,orappliestonewServicesorfunctionality,thenthe followingwillapply: (i)IfachangetotheURLTermshasamaterial adverseimpactontheCustomer,thentheCustomermayobjecttothechange bynotifyingGooglewithin30daysofwhenGoogleprovidesnotice. (ii)IftheCustomersonotifiesGoogle,thenthe CustomerwillremaingovernedbytheURLTermsineffectimmediatelybefore thechangeuntiltheearlierof:(A)theendofthethen-currentOrderTerm or(B)12monthsafterthenoticewasgiven. 3.Customerobligations. 3.1Compliance.The Customerwill(a)ensurethattheCustomeranditsEndUsers’useoftheServices, includingallaccesstoanduseofCustomerDatabyitanditsEndUsers,complies withthisAgreementandwithanyofitsapplicablecontracttermsorpolicies, includinganyemploymentcontractsoremployer’spoliciesregardingtechnology usage,security,orconfidentiality;(b)usecommerciallyreasonableeffortsto preventunauthorisedaccessoruseoftheServicesand(c)promptlynotifyGoogle ofanyunauthoriseduseof,oraccessto,theServicesofwhichtheCustomer becomesaware. 3.2Additional products.GooglemakesoptionalAdditionalProductsavailabletothe CustomeranditsEndUsers.UseofAdditionalProductsissubjecttotheAdditional ProductTerms. 3.3Administrationof Services. (a)AdminConsole. GooglewillprovidetheCustomeraccesstotheAdminConsoleforthe AdministratortomanageitsuseoftheServices(anduseoftheServicesbyits EndUsers,ifapplicable).TheCustomermayusetheAdminConsoletospecify oneormoreAdministratorswhowillhavetherightstoaccessAdminAccount(s). TheCustomerisresponsiblefor:(a)maintainingtheconfidentialityand securityoftheEndUserAccountsandassociatedpasswords;and(b)anyuseof theEndUserAccounts.TheCustomeragreesthatGoogle’sresponsibilitiesdo notextendtotheinternalmanagementoradministrationoftheServicesforthe CustomeroranyEndUsers. (b)Administratoraccessto EndUserAccounts.AnAdministratorwillhavetheabilitytoaccess, monitor,use,modify,withholdordiscloseCustomerDataassociatedwithany EndUserAccountsandcontrolEndUser’saccesstotheServices.An Administratormayalsohavetheabilityto:(i)controlaccountsettingsfor EndUserAccounts(includingchangingEndUserAccountpasswords)and(ii) removeordisableanyServicesorAdditionalProductsorother services/productsenabledorinstalledusingtheEndUserAccount.Useof AdditionalProductsorotherservices/productswiththeEndUserAccountsisat theCustomer’sownrisk. (c)Reselleras Administrator.IftheCustomerordersServicesviatheReseller,at theCustomer’sdiscretion,theResellermayhaveaccesstotheCustomer’s AccountandtheCustomer’sEndUserAccounts.AsbetweenGoogleandthe Customer,theCustomerissolelyresponsiblefor:(i)anyaccessbythe ResellertotheCustomer’sAccountortheCustomer’sEnd-UserAccountsand(ii) definingintheResellerAgreementanyrightsorobligationsasbetweenthe ResellerandtheCustomerwithrespecttotheServices. (d)Consents.The Customerwillobtainandmaintainallrequiredconsentstopermit:(i)the Customer’s,anditsEndUsers’,ifapplicable,useoftheServicesand(ii) accessing,storingandprocessingofCustomerDataunderthisAgreement. 3.4UseRestrictions. Customerwillnot,andwillnotallowEndUsersorthirdpartiesunderitscontrol to:(a)copy,modify,createaderivativeworkof,reverseengineer,decompile, translate,disassemble,orotherwiseattempttoextractanyofthesourcecodeof theServices(excepttotheextentsuchrestrictionisexpresslyprohibitedby applicablelaw);(b)sublicense,transferordistributeanyoftheServices;(c) sell,resell,orotherwisemaketheServicesavailabletoathirdpartyaspartof acommercialofferingthatdoesnothavematerialvalueindependentofthe Services;or(d)accessorusetheServices:(i)forHighRiskActivities;(ii)in amannerintendedtoavoidincurringFees;(iii)formaterialsoractivitiesthat aresubjecttotheInternationalTrafficinArmsRegulations(ITAR)maintainedby theUnitedStatesDepartmentofState;(iv)inamannerthatbreache,or facilitatesthebreachof,ExportControlLaws;or(v)totransmit,store,or processhealthinformationsubjecttoUnitedStatesHIPAAregulationsexceptas permittedbyanexecutedHIPAABAA.Unlessotherwisepermittedinthe Service-SpecificTerms,theCustomerwillnotuse,andwillnotallowEndUsersto use,theServicestoplaceorreceiveemergencyservicecalls. 3.5Abusemonitoring. TheCustomerissolelyresponsibleformonitoring,respondingtoandotherwise processingemailssenttothe'abuse'and'postmaster'aliasesforanyDomain Name(s)verifiedforusewiththeServices,butGooglemaymonitoremailssentto thesealiasesforDomainNamestoallowGoogletoidentifyServicesabuse. 3.6RequestingadditionalEnd UserAccountsduringOrderTerm.TheCustomermaypurchaseadditionalEnd UserAccountsduringanOrderTermby:(a)executinganadditionalOrderFormwith GoogleortheReseller,asapplicable,or(b)viatheAdminConsole.Such additionalEndUserAccountswillhaveaproratedtermendingonthelastdayof theapplicableOrderTerm. 4.Payment. 4.1Ordersviathe Reseller.IftheCustomerorderstheServicesfromtheReseller,then:(a) feesfortheServiceswillbesetbetweentheCustomerandtheReseller,andany paymentswillbemadedirectlytotheResellerundertheResellerAgreement;(b) theremainingprovisionsinthisSection4(Payment)willnotapplytothe Services;(c)theCustomerwillreceiveapplicableServiceCredits(ifany)from theReseller;(d)theCustomermayrequestadditionalEndUserAccountsduringthe OrderTermbycontactingtheResellerand(e)GooglemayshareCustomer ConfidentialInformationwiththeResellerasaDelegatesubjecttoSection7.1 (Confidentialityobligations)ofthisAgreement. 4.2Usageand invoicing.TheCustomerwillpayallFeesfortheServices.Googlewill invoicetheCustomerallFeesfortheServices.Google’smeasurementtoolswillbe usedtodeterminetheCustomer’susageoftheServices.TheCustomermayelectone ofthefollowingbillingoptions,orfromamongotheroptionsofferedbyGoogle, whenplacingitsorderfortheServices.Googlemaychangeitsofferingofbilling options,includingbylimitingorceasingtoofferanybillingoption,uponthirty days’writtennoticetotheCustomer(whichmaybebyemail).Billingoptionsmay notbeavailabletoalltheCustomers.TheCustomermaypayfortheServicesusing thepaymentoptionslistedinSection4.3(Payment)below. (a)Monthlyplan. IftheCustomerselectsthisoption,theCustomerwillnotbecommittedto purchasetheServicesforapre-definedtermbutwillpayfortheServicesona monthlybasis.GooglewillbillCustomer:(i)FeesbaseduponCustomer'sdaily usageoftheServicesduringtheprecedingmonthand(ii)Monthlyinarrears foritsuseoftheServices.GooglewillprovidetheCustomerwiththemonthly ratefortheServiceswhentheCustomerorderstheServices,andwillusethis ratetocalculatetheFees,onapro-ratedbasis,fortheCustomer'sdaily usageduringthatmonth.AnypartialdayofServicesusageswillberoundedup toafulldayofServicesusageforthepurposesofcalculatingFees. (b)Annualplan.If theCustomerselectsthisoption,theCustomerwillbecommittedtopurchasing theServicesfromGoogleforanannualterm.GooglewillbilltheCustomer accordingtothetermsassociatedwiththeCustomer’selectionsontheOrder Form. 4.3Payment.All paymentsdueareinUSdollarsunlessotherwiseindicatedontheOrderFormor invoice. (a)Creditcardordebit card.FeesfororderswheretheCustomerispayingwithacreditcard, debitcardorothernon-invoiceformofpayment,aredueattheendofthe monthduringwhichtheCustomerreceivedtheServices.Forcreditcardsor debitcards,asapplicable:(i)GooglewillchargetheCustomerforall applicableFeeswhendueand(ii)theseFeesareconsideredoverduethirtydays aftertheendofthemonthduringwhichtheCustomerreceivedtheServices. (b)Invoices. Paymentsforinvoicesareduethirtydaysaftertheinvoicedate,unless otherwisespecifiedontheOrderForm,andareconsideredoverdueaftersuch date. (c)Otherformsof payment.TheCustomermaychangeitspaymentmethodtothoseavailable withintheAdminConsole.Googlemayenableotherformsofpaymentbymaking themavailableintheAdminConsole.Theseotherformsofpaymentmaybe subjecttoadditionaltermswhichtheCustomermayhavetoacceptpriorto usingtheadditionalformsofpayment. 4.4Overduepayments. (a)TheCustomer’spaymentofFeesisoverdueif Googlehasnotreceiveditbythepaymentduedate.IftheCustomer’spayment isoverdue,Googlemay(i)chargeinterestontheoverdueamountat1.5%per month(orthehighestratepermittedbylaw,ifless)fromthepaymentduedate untilpaidinfulland(ii)SuspendorterminatetheServices. (b)TheCustomerwillreimburseGoogleforall reasonableexpenses(includinglawyers'fees)incurredbyGoogleincollecting overduepayments,exceptwheresuchpaymentsareduetoGoogle'sbilling inaccuracies. 4.5Purchaseorders.If theCustomerrequiresapurchaseordernumberonitsinvoice,theCustomerwill provideapurchaseordernumberintheOrderForm.IftheCustomerdoesnotprovide apurchaseordernumber,then:(a)GooglewillinvoicetheCustomerwithouta purchaseordernumberand(b)theCustomerwillpayinvoiceswithoutapurchase ordernumber.Anytermsonapurchaseorderarevoid. 4.6Taxes.Taxesarenot includedintheFees.TheCustomerwillpayTaxesfortheServices.If legallyrequired,theCustomerwillwithholdTaxesfromitspaymentstoGoogleand provideawithholdingTaxcertificate.UnlesstheCustomerprovidesatimelyand validtaxexemptioncertificate,theCustomerwillpayanyinvoicedTaxesforthe Services.WithoutlimitingtheCustomer’sobligationtopayFees,theCustomerwill withholdTaxesiflegallyrequired. 4.7Pricerevisions. GooglemaymodifyitsPricesatanytimeunlessotherwiseexpresslyagreedinan addendumorOrderForm.GooglewillnotifytheCustomeratleast30daysinadvance ofanyPriceincreases. 5.TechnicalSupport Services.GooglewillprovideTSStotheCustomerduringtheOrderTermin accordancewiththeTSSGuidelinessubjecttopaymentofsupportFees,ifapplicable. IftheCustomerorderstheServicesfromtheReseller,thentheCustomeracknowledges andagreesthattheResellermaydisclosetheCustomerDatatoGoogleasreasonably requiredfortheResellertohandleanysupportissuesthattheCustomerescalatesto orviatheReseller. 6.Suspension. 6.1LimitationsonServices Suspension.GooglemaySuspendServicesasdescribedinSections6.2(AUP Breaches)and6.3(Emergencysuspension).AnySuspensionunderthoseSectionswill betotheminimumextentandfortheshortestdurationrequiredto:(a)preventor terminatetheoffendinguse,(b)preventorresolvetheEmergencySecurityIssueor (c)complywithapplicablelaw. 6.2AUPbreaches.If GooglebecomesawarethatCustomer’soranyEndUser’suseoftheServicesbreaches theAUP,GooglewillrequestthattheCustomercorrectthebreach.IftheCustomer failstocorrectsuchbreachwithin24hoursorsuchrequestorifGoogleis otherwiserequiredbylawtotakeaction,thenGooglemaySuspendServices. 6.3Emergency suspension.GooglemayimmediatelySuspendtheCustomer’soranyEnd User’suseoftheServicesoranEndUserAccountif:(a)thereisanEmergency SecurityIssueor(b)GoogleisrequiredtoSuspendsuchusetocomplywith applicablelaw.AttheCustomer’srequest,unlessprohibitedbylaw,Googlewill notifytheCustomerofthebasisfortheSuspensionassoonasisreasonably possible.ForSuspensionsofEndUserAccounts,GooglewillprovidetheCustomer’s AdministratorwiththeabilitytorestoreEndUserAccountsincertain circumstances. 7.Confidentiality. 7.1Obligations. SubjecttoSection7.2(DisclosureofConfidentialInformation)therecipientwill usetheotherparty’sConfidentialInformationonlytoexerciserightsandfulfill obligationsunderthisAgreement.Therecipientwillusereasonablecaretoprotect againstdisclosureoftheotherparty’sConfidentialInformationtootherparties otherthantherecipient’semployees,Affiliates,agentsorprofessionaladvisers ('Delegates')whoneedtoknowitandwhohavealegalobligationtokeepit confidential.TherecipientwillensurethatitsDelegatesarealsosubjecttothe samenon-disclosureanduseobligations. 7.2DisclosureofConfidential Information. (a)General. RegardlessofanyotherprovisionintheAgreement,therecipientorits Affiliatesmaydisclosetheotherparty’sConfidentialInformation(i)in accordancewithaLegalProcess,subjecttoSection7.2(b)(LegalProcess Notification)or(ii)withtheotherparty’swrittenconsent. (b)LegalProcess notification.Therecipientwillusecommerciallyreasonableefforts tonotifytheotherpartybeforedisclosingthatparty’sConfidential InformationinaccordancewithLegalProcess.Noticeisnotrequiredbefore disclosureiftherecipientisinformedthat(i)itislegallyprohibitedfrom givingnoticeor(ii)theLegalProcessrelatestoexceptionalcircumstances involvingdangerofdeathorseriousphysicalinjury. (c)Opposition.The recipientanditsAffiliateswillcomplywiththeotherparty’sreasonable requeststoopposedisclosureofitsConfidentialInformation. 8.IntellectualProperty. 8.1IntellectualProperty Rights.ExceptasexpresslystatedintheAgreement,theAgreementdoes notgranteitherpartyanyrights,impliedorotherwise,totheother’scontentor IntellectualProperty.Asbetweentheparties,theCustomerretainsall IntellectualPropertyRightsinCustomerData,andGoogleretainsallIntellectual PropertyRightsintheServices. 8.2BrandFeatures. GooglewilldisplayonlythoseCustomerBrandFeaturesthattheCustomerauthorises GoogletodisplaybyuploadingthemintotheServices.Googlewilldisplaythose thattheCustomerBrandFeatureswithindesignatedareasofthewebpages displayingtheServicestoCustomeroritsEndUsers.Googlemayalsodisplay GoogleBrandFeaturesonsuchwebpagestoindicatethattheServicesareprovided byGoogle. 8.3Feedback.Atits option,theCustomermayprovideFeedbackabouttheServicestoGoogle.Ifthe CustomerprovidesFeedback,thentheCustomerassignstoGoogleallright,title andinterestinthatFeedback. 9.Marketingandpublicity. Eachpartymayusetheotherparty’sBrandFeaturesinconnectionwiththisAgreement onlyaspermittedintheAgreement.TheCustomermaystatepubliclythatitisaGoogle customeranddisplayGoogleBrandFeaturesinaccordancewiththeTrademarkGuidelines. Googlemay(a)orallystatethattheCustomerisaGooglecustomerand(b)includethe Customer’snameorCustomerBrandFeaturesinalistofGooglecustomersinGoogle’s promotionalmaterials.Anyuseofaparty’sBrandFeatureswillinuretothebenefitof thepartyholdingIntellectualPropertyRightstothoseBrandFeatures.Apartymay revoketheotherparty’srighttouseitsBrandFeatureswithwrittennoticetothe otherpartyandareasonableperiodtostoptheuse. 10.Representations,warrantiesand disclaimers. 10.1Representationsand warranties.Eachpartyrepresentsthatit:(a)hasfullpowerand authoritytoenterintotheAgreementand(b)willcomplywithalllawsand regulationsapplicabletoitsprovision,oruse,oftheServices,asapplicable. 10.2Disclaimers. ExceptasexpresslyprovidedforintheAgreement,tothefullestextent permittedbyapplicablelaw,Google(a)doesnotmakeanyotherwarrantiesofany kind,whetherexpress,implied,statutoryorotherwise,includingwarrantiesof merchantability,fitnessforaparticularuse,non-infringementorerror-freeor uninterrupteduseoftheServicesand(b)makesnorepresentationaboutcontentor informationmadeaccessiblethroughtheServices.Unlessotherwisestatedinthe Agreement,theCustomeracknowledgesthattheServicesarenotcapableofplacing orreceivingemergencyservicescalls. 11.Termandtermination. 11.1AgreementTerm. ThisAgreementwillremainineffectfortheTermunlessitexpiresoris terminatedinaccordancewiththeAgreement. 11.2Renewal. (a)WithaMonthly Plan.WithaMonthlyPlan,theCustomerisnotcommittedtopurchase theServicesforapre-definedterm.Asaresult,thereisnorenewaleventfor theMonthlyPlan.Rather,GooglewillcontinuebillingtheCustomerfees consistentwithSection4.1(a)above. (b)WithanAnnual Plan.AttheendofeachOrderTerm,theServiceswillrenew consistentwithCustomer’selectionsontheOrderFormorAdminConsole. (c)Generally.The CustomermayalterthenumberofEndUserAccountstoberenewedviatheAdmin Console.TheCustomerwillcontinuetopayGooglethethen-currentFeesfor eachrenewedEndUserAccountunlesstheCustomerandGooglemutuallyagree otherwise.IfonepartydoesnotwanttheServicestorenew,thenitwill providetheotherpartywrittennoticetothiseffectatleastfifteendays beforetheendofthethencurrentOrderTerm.Thisnoticeofnon-renewalwill beeffectiveupontheconclusionofthethencurrentOrderTerm. 11.3Terminationfor breach.EitherpartymayterminatetheAgreementiftheotherparty:(a) isinmaterialbreachoftheAgreementandfailstocurethatbreachwithinthirty daysafterreceiptofwrittennoticeor(b)ceasesitsbusinessoperationsor becomessubjecttoinsolvencyproceedingsandtheproceedingsarenotdismissed withinninetydays. 11.4Terminationfor inactivity.GooglereservestherighttoterminatetheAgreementandthe provisionoftheServicesupon30daysadvancenoticeif,foraperiodof60 consecutivedays,theCustomer,includinganyEndUsers:(a)hasnotaccessedthe AdminConsoleor(b)hasnotusedtheServices. 11.5Effectsof termination.IftheAgreementterminatesorexpires,thenallOrderForms alsoterminateorexpire,asapplicable.IftheAgreementterminatesorexpires, then:(a)allrightsandaccesstotheServicesundertheAgreementwillterminate (includingaccesstoCustomerData)and(b)GooglewillsendtheCustomerafinal invoice. 11.6Survival.The followingSectionswillsurviveexpiryorterminationofthisAgreement:Section4 (Payment),7(Confidentiality),8(IntellectualProperty),10.2(Disclaimer),11.5 (Effectsoftermination),12(Indemnification),13(Liability),15(Miscellaneous) and16(Definitions). 12.Indemnification. 12.1Googleindemnification obligations.GooglewilldefendtheCustomeranditsAffiliates participatingunderthisAgreement('CustomerIndemnifiedParties')andindemnify themagainstIndemnifiedLiabilitiesinanyThird-PartyLegalProceedingtothe extentarisingfromanallegationthatCustomerIndemnifiedParties'usein accordancewiththisAgreementofanyofGoogleIndemnifiedMaterialsinfringesthe thirdparty'sIntellectualPropertyRights. 12.2Customerindemnification obligations.Unlessprohibitedbyapplicablelaw,theCustomerwilldefend GoogleanditsAffiliatesandindemnifythemagainstIndemnifiedLiabilitiesinany Third-PartyLegalProceedingtotheextentarisingfrom:(a)anyCustomer IndemnifiedMaterialsor(b)theCustomer’soranEndUser’suseoftheServicesin violationoftheAcceptableUsePolicyortheUseRestrictions. 12.3Indemnification exclusions.Sections12.1(Googleindemnificationobligations)and12.2 (Customerindemnificationobligations)willnotapplytotheextenttheunderlying allegationarisesfrom:(a)theindemnifiedparty’sbreachoftheAgreement;or(b) acombinationofGoogleIndemnifiedMaterialsorCustomerIndemnifiedMaterials(as applicable)withmaterialsnotprovidedbytheindemnifyingpartyunderthe Agreement,unlessthecombinationisrequiredbytheAgreement. 12.4Indemnification conditions.Sections12.1(Googleindemnificationobligations)and12.2 (Customer’sindemnificationobligations)areconditionedonthefollowing: (a)Theindemnifiedpartymustpromptlynotifythe indemnifyingpartyinwritingofanyallegation(s)thatprecededthe Third-PartyLegalProceedingandcooperatereasonablywiththeindemnifying partytoresolvetheallegation(s)andThird-PartyLegalProceeding.Ifbreach ofthisSection12.4(a)prejudicesthedefenceoftheThird-PartyLegal Proceeding,theindemnifyingparty’sobligationsunderSections12.1(Google indemnificationobligations)or12.2(Customerindemnificationobligations)(as applicable)willbereducedinproportiontotheprejudice. (b)Theindemnifiedpartymusttendersolecontrolof theindemnifiedportionoftheThird-PartyLegalProceedingtotheindemnifying party,subjecttothefollowing:(i)theindemnifiedpartymayappointitsown non-controllingcounsel,atitsownexpenseand(ii)anysettlementrequiring theindemnifiedpartytoadmitliability,paymoneyortake(orrefrainfrom taking)anyaction,willrequiretheindemnifiedparty’spriorwrittenconsent, nottobeunreasonablywithheld,conditionedordelayed. 12.5Remedies. (a)IfGooglereasonablybelievesthattheServices mightinfringeathirdparty’sIntellectualPropertyRights,thenGooglemay, atitssoleoptionandexpense:(i)procuretherightforCustomertocontinue usingtheServices;(ii)modifytheServicestomakethemnon-infringing withoutmateriallyreducingtheirfunctionalityor(iii)replacetheServices withanon-infringing,functionallyequivalentalternative. (b)IfGoogledoesnotbelievethattheremediesin Section12.5(a)arecommerciallyreasonable,thenGooglemaySuspendor terminatetheimpactedServices. 12.6Solerightsand obligations.Withoutaffectingeitherparty’sterminationrights,this Section12(Indemnification)statestheparties’soleandexclusiveremedyunder thisAgreementforanythird-partyallegationsofIntellectualPropertyRights infringementcoveredbythisSection12(Indemnification). 13.Liability. 13.1Limited liabilities. (a)TotheextentpermittedbyapplicablelawandsubjecttoSection 13.2(Unlimitedliabilities),neitherpartywillhaveanyLiabilityarising outoforrelatingtotheAgreementforany:(i)lostrevenues,profits, savingsorgoodwill;or(ii)indirect,special,incidental,consequentialor punitivedamages. (b)Eachparty’stotalLiabilityfordamagesarisingoutofor relatingtotheAgreementislimitedtotheFeespaidbytheCustomerunder theAgreementduringthe12monthperiodbeforetheeventgivingriseto liability. 13.2Unlimited liabilities.NothingintheAgreementexcludesorlimitseither party’sLiabilityfor:(a)death,personalinjuryortangiblepersonalproperty damageresultingfromitsnegligenceorthenegligenceofitsemployeesoragents; (b)itsfraudorfraudulentmisrepresentation;(c)obligationsunderSection12 (Indemnification);(d)itsinfringementoftheotherparty’sIntellectualProperty Rights;(e)itspaymentobligationsundertheAgreementor(f)mattersforwhich liabilitycannotbeexcludedorlimitedunderapplicablelaw. 14.Miscellaneous. 14.1Notices.Google mayprovideanynoticetotheCustomerby:(a)sendinganemailtotheNotification EmailAddressorby(b)postinganoticeintheAdminConsole.TheCustomermay providenoticetoGooglebysendinganemailtolegal-notices@google.com.Notice willbetreatedasreceivedwhen(x)theemailissent,whetherornottheother partyhasreceivedtheemailor(y)noticeispostedintheAdminConsole.The CustomerisresponsibleforkeepingitsNotificationEmailAddresscurrent throughouttheTerm. 14.2Emails.Underthis Agreement,thepartiesmayuseemailstosatisfywrittenapprovalandconsent requirements. 14.3Assignment. NeitherpartymayassigntheAgreementwithoutthewrittenconsentoftheother party,excepttoanAffiliatewhere:(a)theassigneeagreesinwritingtobebound bythetermsoftheAgreement;(b)theassigningpartyremainsliablefor obligationsincurredundertheAgreementiftheassigneedefaultsonthemand(c) theassigningpartyhasnotifiedtheotherpartyoftheassignment.Anyother attempttoassignisvoid. 14.4ChangeofControl. IfapartyexperiencesachangeofControlotherthananinternalrestructuringor reorganisation:(a)thatpartywillgivewrittennoticetotheotherpartywithin 30daysafterthechangeofControland(b)theotherpartymayimmediately terminatetheAgreementanytimewithin30daysafteritreceivesthatwritten notice. 14.5Forcemajeure. Neitherpartywillbeliableforfailureordelayinperformanceofitsobligations totheextentcausedbycircumstancesbeyonditscontrol,includingactsofGod, naturaldisaster,terrorism,riotsorwar. 14.6Subcontracting.Googlemay subcontractobligationsundertheAgreementbutwillremainliabletotheCustomer foranysubcontractedobligations. 14.7Nowaiver.Neither partywillbetreatedashavingwaivedanyrightsbynotexercising(ordelaying theexerciseof)anyrightsundertheAgreement. 14.8Severability.If anySection(orpartofaSection)oftheAgreementisinvalid,illegal,or unenforceable,therestoftheAgreementwillremainineffect. 14.9Noagency.The Agreementdoesnotcreateanyagency,partnershiporjointventurebetweenthe parties. 14.10Nothird-party beneficiaries.ThisAgreementdoesnotconferanybenefitsonanythird partyunlessitexpresslystatesthatitdoes. 14.11Equitablerelief. NothinginthisAgreementwilllimiteitherparty’sabilitytoseekequitable relief. 14.12Governinglaw. AllclaimsarisingoutoforrelatingtothisAgreementortheServiceswillbe governedbyCalifornialaw,excludingthatstate’sconflictoflawsrules,andwill belitigatedexclusivelyinthefederalorstatecourtsofSantaClaraCounty, California;thepartiesconsenttopersonaljurisdictioninthosecourts. 14.13Amendments. ExceptasspecificallystatedotherwiseintheAgreement,anyamendmenttothe Agreementmustbeinwriting,expresslystatethatitisamendingtheAgreementand besignedbybothparties. 14.14Independent development.NothinginthisAgreementwillbeconstruedtolimitor restricteitherpartyfromindependentlydeveloping,providingoracquiringany materials,services,products,programsortechnologythataresimilartothe subjectoftheAgreement;provided,thatthepartydoesnotbreachitsobligations undertheAgreementindoingso. 14.15EntireAgreement. TheAgreementstatesalltermsagreedbetweenthepartiesandsupersedesanyprior orcontemporaneousagreementsbetweenthepartiesrelatingtothesubjectmatterof thisAgreement.InenteringintotheAgreement,neitherpartyhasreliedonand neitherpartywillhaveanyrightorremedybasedon,anystatement,representation orwarranty(whethermadenegligentlyorinnocently),exceptthoseexpresslystated intheAgreement.TheAgreementincludesURLlinkstootherterms(includingthe URLTerms),whichareincorporatedbyreferenceintotheAgreement. 14.16Conflicting terms.Ifthereisaconflictbetweenthedocumentsthatmakeupthis Agreement,thedocumentswillcontrolinthefollowingorder:theOrderForm,the AgreementandtheURLTerms. 14.17Counterparts.The partiesmayexecutethisAgreementincounterparts,includingfacsimile,PDFor otherelectroniccopies,whichtakentogetherwillconstituteoneinstrument. 14.18Electronic signatures.Thepartiesconsenttoelectronicsignatures. 14.19Headers.Headings andcaptionsusedintheAgreementareforreferencepurposesonlyandwillnot haveanyeffectontheinterpretationoftheAgreement. 15.Definitions. 'AcceptableUsePolicy'or'AUP'meanstheAcceptableUsePolicyfortheServices availableathttps://workspace.google.com/intl/en/terms/use_policy.html. 'Account'meansCustomer’sGoogleaccount credentialsandcorrelatingaccesstotheServicesunderthisAgreement. 'AdditionalProducts'meansproducts,services andapplicationsthatarenotpartoftheServicesbutthatmaybeaccessiblefor usewiththeServices. 'AdditionalProductTerms'meansthe then-currenttermsathttps://workspace.google.com/intl/en/terms/additional_services.html. 'AdminAccount'meansatypeofEndUser AccountthattheCustomer(ortheReseller,ifapplicable)mayusetoadminister theServices. 'AdminConsole'meanstheonlineconsole(s) andtool(s)providedbyGoogletotheCustomerforadministeringtheServices. 'Administrators'meantheCustomer-designated technicalpersonnelwhoadministertheServicesontheCustomer’sbehalfandmay havetheabilitytoaccessCustomerDataandEndUserAccounts. 'Advertising'meansonlineadvertisements displayedbyGoogletoEndUsers,excludinganyadvertisementstheCustomer expresslychoosestohaveGoogleoranyofitsAffiliatesdisplayinconnection withtheServicesunderaseparateagreement(forexample,GoogleAdSense advertisementsimplementedbyCustomeronawebsitecreatedbyCustomerusingthe 'GoogleSites'functionalitywithintheServices). 'Affiliate'meansanyentitythatdirectlyor indirectlyControls,isControlledbyorisundercommonControlwithaparty. 'BAA'or'BusinessAssociateAgreement'isanaddendumtothis AgreementcoveringthehandlingofProtectedHealthInformation(asdefinedin HIPAA). 'BrandFeatures'meanseachparty’strade names,trademarks,logos,domainnamesandotherdistinctivebrandfeatures. 'ConfidentialInformation'meansinformation thatoneparty(orAffiliate)disclosestotheotherpartyundertheAgreement andthatismarkedasconfidentialorwouldnormallybeconsideredconfidential informationunderthecircumstances.CustomerDataistheCustomer’sConfidential Information.ConfidentialInformationdoesnotincludeinformationthatis independentlydevelopedbytherecipient,issharedwiththerecipientbyathird partywithoutconfidentialityobligationsorbecomespublicthroughnofaultof therecipient. 'Control'meanscontrolofgreaterthan50%of thevotingrightsorequityinterestsofaparty. 'CoreServices'meanstheCoreServicesfor GoogleWorkspaceasdescribedintheServicesSummary. 'CustomerData'meansdatasubmitted,stored, sentorreceivedviatheServicesbytheCustomer,itsAffiliatesorEndUsers. 'CustomerIndemnifiedMaterials'meansthe CustomerDataandCustomerBrandFeatures. 'DomainEmailAddress'meanstheemailaddress ontheDomainNameforuseinconnectionwiththeServices. 'DomainName'meanthedomainnamespecified intheOrderFormtobeusedinconnectionwiththeServices. 'EmergencySecurityIssue'meanseither:(a) Customer’sorEndUsers’useoftheServicesinviolationoftheAcceptableUse Policy,wheresuchusecoulddisrupt:(i)theServices;(ii)othercustomers’use oftheServicesor(iii)theGooglenetworkorserversusedtoprovidethe Services;or(b)unauthorisedthird-partyaccesstotheServices. 'EndUsers'meanstheindividualsthatthe CustomerpermitstousetheServicesandwhoaremanagedbyanAdministrator. 'EndUserAccount'meansaGoogle-hosted accountestablishedbytheCustomerthroughitsAdministratorforanEndUserto usetheServices. 'ExportControlLaws'meansallapplicable exportandre-exportcontrollawsandregulations,including(a)theExport AdministrationRegulations('EAR')maintainedbytheUSDepartmentofCommerce, (b)tradeandeconomicsanctionsmaintainedbytheUSTreasuryDepartment’s OfficeofForeignAssetsControland(c)theInternationalTrafficinArms Regulations('ITAR')maintainedbytheUSDepartmentofState. 'Feedback'meansfeedbackorsuggestionsabout theServicesprovidedtoGooglebytheCustomer. 'Fees'meanstheproductoftheamountofthe ServicesusedororderedbytheCustomermultipliedbythePrices,plusany applicableTaxes. 'GoogleIndemnifiedMaterials'meansGoogle’s technologyusedtoprovidetheServicesandGoogle’sBrandFeatures. 'HighRiskActivities'meansactivitieswhere theuseorfailureoftheServicescouldleadtodeath,personalinjuryor environmentaldamage,includingoperationofnuclearfacilities,airtraffic control,lifesupportsystemsorweaponry.
