Google Workspace Service Specific Terms

The following terms apply only to the Google Workspace Services and to the Customer Data described in the definition of "Located Data" in Section 1.3 ( ... GoogleWorkspaceService-SpecificTerms Lastmodified:7July2022 FortranslationsoftheseService-SpecificTermsintootherlanguages,pleaseclick here. CapitalisedtermsnotdefinedintheseServiceSpecificTermsforGoogleWorkspace (formerlyknownasGSuite)havethemeaningstatedintheGoogleWorkspaceServices ScheduletotheGoogleCloudMasterAgreement,GoogleWorkspaceforEducationAgreement orotherapplicableagreementgoverningtheuseofGoogleWorkspaceServices(ineach case,the'Agreement'). 1.DataRegions.ThefollowingtermsapplyonlytotheGoogle WorkspaceServicesandtotheCustomerDatadescribedinthedefinitionof 'LocatedData'inSection1.3(Definitions)oftheseService-SpecificTerms: 1.1Primarydatastorage.IftheCustomeris usinganIn-ScopeEditionoftheservices,theCustomermayusetheAdmin consoletoselectaDataRegiontostoreLocatedDataatrestandGoogle will,inaccordancewithapplicablelaw,storesuchLocatedDataaccordingly ('GoogleWorkspaceDataRegionsPolicy'). 1.2Limitation.ForanyCustomerDatathatis notcoveredbytheGoogleWorkspaceDataRegionsPolicy,Googlemaystoreany CustomerDatathatisnotcoveredbytheGoogleWorkspaceDataRegionsPolicy anywhereGoogleoritsSub-processorsmaintainfacilities,subjecttoSection 10.2(TransfersofData)oftheDataProcessingAmendment(ifapplicable). 1.3Definitions. 'LocatedData'meanonlythefollowing primarydatawithinCustomerDataforthecorrespondingService: (a)Gmail:Subjectlineandbodyofemail,attachmentsandsenders andrecipientsofmessages. (b)GoogleCalendar:Eventtitleanddescriptionofevent,date, time,invitees,frequencyandlocations. (c)GoogleDocs,GoogleSheetsandGoogleSlides:filebodytext, embeddedimagesandassociatedEndUser-generatedcomments. (d)GoogleDrive:OriginalfilecontentuploadedtoDrive. (e)HangoutsChat:Messagesandattachments. (f)GoogleVault:Vaultexports. 'DataRegion'meanseither:(a)the UnitedStatesor(b)Europe. 'In-ScopeEdition'meansthefollowing editions: (a)GSuiteBusiness (b)GoogleWorkspaceEnterprisePlus (c)GoogleWorkspaceforEducationStandard (d)GoogleWorkspaceforEducationPlus 2.GoogleVault.ThefollowingtermsapplyonlytoGoogleVault: 2.1Retention.Googlewillhavenoobligation toretainanyarchivedCustomerDataafterthedateofexpiryofthe retentionperiodspecifiedbytheCustomerortheOrderTermapplicableto therelevantGoogleVaultlicences,unless:(a)suchretentionperiodor OrderTermisrenewed;(b)applicablelegislationorlegalprocessprevents Googlefromdeletingthedata;or(c)thedataissubjecttoalegalhold imposedbytheCustomer.IftheCustomerdoesnotrenewitspurchaseanduse ofGoogleVault,thenGooglewillhavenoobligationtoretainanyarchived CustomerData. 3.GoogleWorkspaceEssentials.Thefollowingtermsapplyonly totheGoogleWorkspaceEssentialsand/orGoogleWorkspaceEssentialsStarter edition(s),asindicated: 3.1Invoiceissuance. (a)IftheCustomerorderstheGoogleWorkspaceEssentialsedition directlyfromGoogle,then,aspartofthepaymentandbillingobligations betweenGoogleandtheCustomer,(i)GooglewillsendtheCustomeramonthly invoiceforFeesaccruedduringthepreviousmonthunlessotherwisestatedat theURLdesignatingtheFeesforanapplicableSKUand(ii)theCustomerwill accrueandpayforallFeesbasedon:(A)thenumberoftheCustomer'sActive Userspermonth(or,iftheCustomerhasnoActiveUsersinanymonth,a minimumofone(1)ActiveUserforthatmonth)and(B)anycommitted purchasesorminimumcommitments,ifapplicable.Google'smeasurementtools willbeusedtodeterminetheCustomer'susageoftheServicesifapplicable toFees. (b)FeesforResoldCustomers.Ifthe CustomerorderstheGoogleWorkspaceEssentialseditionfromtheReseller, theFeesfortheServiceswillbesetbetweentheCustomerandReseller, exceptthatGoogle'smeasurementtoolswillbeusedtodeterminethe Customer'susageoftheServicesifapplicabletoFees. 3.2TrackingandbillingofActiveUsersand storage.WhethertheCustomerorderstheGoogleWorkspaceEssentials and/orGoogleWorkspaceEssentialsStarteredition(s),Googlemayblockany behaviourthatattemptstocircumventthetrackingandbillingofActive Usersorstorage,asapplicable. 3.3SLAcredits.IftheCustomerordersGoogle WorkspaceEssentialseditiondirectlyfromGoogle,anyServiceCreditsthat maybeduetotheCustomerwillbeissuedintheformofmonetarycredits (andnotadditionalservicedays)thatwillbeappliedtotheCustomer'snext invoice.IftheCustomerordersGoogleWorkspaceEssentialseditionfroma Reseller,GooglewillissuetotheReselleranyServiceCreditsthatmaybe duetotheCustomerintheformofmonetarycredits(andnotadditional Servicedays). 3.4SLAandTechnicalSupportService exclusions.IftheCustomerorderstheGoogleWorkspaceEssentials Starteredition,theSLAwillnotapplytoanyservicescomprisedwithinthat edition(notwithstandingthattheSLAmaydefinesuchservicesasGoogle WorkspaceCoveredServices)andTSSwillnotbeavailable. 3.5Terminationforinactivityorconvenience. IftheCustomerorderstheGoogleWorkspaceEssentialsStarteredition, GooglereservestherighttoterminatetheAgreementandtheprovisionofthe Services: (a)on30days'noticetotheCustomerif,foranyperiodof60 consecutivedaysprecedingthedateofthenotice,therehasbeennoaccess totheAdminconsoleoruseoftheServicesbytheCustomeroranyofitsEnd Users;or (b)forconvenienceon90days'noticetotheCustomer. 3.6Definitions.'ActiveUser'meansanEndUseroftheGoogleWorkspace Essentialseditionwho(a)hostsorjoinsavideomeetinginGoogleMeetat leastonceduringthecalendarmonthor(b)opensafileinGoogleDriveat leastonceduringthecalendarmonth. 4.CloudSearch.ThefollowingtermsapplyonlytoCloudSearch: 4.1Third-partydatasources.TheCustomer's useofthird-partydatasourcesinconnectionwithCloudSearchPlatformis subjecttoandgovernedbythetermsofserviceandotheragreementsbetween theCustomerandtheapplicableproviderofthethird-partydatasource ('ThirdPartyDataSourceTerms').The CustomerissolelyresponsibleforcompliancewithsuchThird-PartyData SourceTerms,includingensuringnecessaryrightstoallowGoogletoaccess orusesuchthird-partydatasourcesforprovisioningCloudSearchPlatform totheCustomer. 4.2TheCloudSearchProductRoadmapwillbeofferedtoCloudSearch customersonaperiodicbasisforinformationalpurposesonly.Featuresor updatesontheCloudSearchProductRoadmaparenotguaranteedandGoogleis notobligatedtoprovidethemaspartoftheServices.TheCustomermay providefeedbackorfeaturerequestsforGoogle'sconsideration,whichGoogle mayinitssolediscretionconsideraddingtothefutureiterationsofthe CloudSearchProductRoadmap.Googleisnotobligatedtoimplementany feedbackorfeaturerequest,whetherornotitisaddedtotheCloudSearch ProductRoadmap. 4.3Additionaldefinitions. 'CloudSearchProductRoadmap'meansa documentcontainingplannedproductfeaturesandupdatestoCloudSearch. 'Item'or'Document'meansanypieceofdigitalcontentthat CloudSearchcanindex,including,ifapplicable,DOCS,XLS,PPTandPDF files,arowinadatabase,uniqueURLsoranyofthesupportedfile types. 'SearchQuery'meansarequestsentbythe CustomertoGoogleusingCloudSearchtoretrieveinformationorasetof results. 'SearchApplication'meansaconfiguration ofCloudSearchcreatedandmanagedbytheCustomerortheirdesigneeto enableaspecificbusinessusecase,suchassearchingacrossdocuments inanintranetportalortheCustomer'ssupporttool. 5.CloudIdentityManagement.Thefollowingtermsapplyonlyto CloudIdentityManagementand,asusedwithCloudIdentityManagement,Google ContactsandGoogleGroupsforBusiness(collectively'CloudIdentityServices'): 5.1SubsequentgoverningAgreement.Ifthe CustomersubsequentlyentersintoaseparateagreementunderwhichGoogleor aGoogleAffiliateagreestoprovideCloudIdentityServices,thenthat subsequentagreementwillsupersedethisAgreementwithrespecttoCloud IdentityServices.IfthisAgreementterminatesorexpires,then,if applicable,GooglewillcontinuetoprovideCloudIdentityServicesin accordancewiththeCloudIdentityAgreementunlessoruntilsuchagreement isterminatedorexpiresinaccordancewithitsterms.'CloudIdentityAgreement'meansanagreementforthe provisionofCloudIdentityServicesenteredintobythepartiespriorto terminationorexpiryofthisAgreement. 6.Pre-generalavailabilityofferingsterms.Googlemaymake availabletotheCustomerpre-generalavailabilityGoogleWorkspacefeatures, servicesorsoftwarethatareidentifiedas'EarlyAccess','Alpha','Beta', 'Preview','Experimental'orasimilardesignationintheServicesSummary, relateddocumentationormaterials,oraTestApplication(asdefinedbelow) (collectively,'Pre-GAOfferings').WhilePre-GA OfferingsarenotServices,theCustomer'suseofPre-GAOfferingsissubjectto thetermsoftheAgreementapplicabletoServices,asamendedbythisSection6. 6.1AccesstoanduseofPre-GAOfferings. (a)TestApplications.TheCustomermay applytobeatestuserofoneormorePre-GAOfferingsbysubmittingthe application(s)availableviatheAdminconsoleorotherwisefromGoogle ('TestApplication(s)').IfGoogleaccepts theCustomerasatestuserofanyPre-GAOffering(basedonGoogle's then-currentdomainlevelrequirementsfortestusers),Googlewillmake thatPre-GAOfferingavailableforusebytheCustomersubjecttothe termsofthisSection6.Additionalterms('SpecificTestTerms')mayapplytothatPre-GA Offeringand,ifapplicable,willbeprovidedbyGoogleviatheTest ApplicationorotherwiseinwritingbeforeanyusebytheCustomerofthe Pre-GAOffering.TheTestApplicationandanySpecificTestTermsare incorporatedintothisSection6. (b)UseofCustomerTestData.Subjectto Section6(d)(UserestrictionforgovernmentCustomers)ofthisSection 6,Googlemay,andtheCustomerwill(includingbycollectingor providinganyrequiredconsentsornotices)ensurethatGooglemayuse anyCustomerData(includingCustomerPersonalData)submitted,stored, sentorreceivedviaanyPre-GAOfferingsbyCustomeroritsEndUsers ('CustomerTestData')toprovide,test, analyse,developandimprovethosePre-GAOfferingsandanyGoogle productsandservicesusedwiththemwithoutanyrestrictionor obligationtotheCustomer,anyEndUseroranythirdparty,otherthan asstatedintheAgreement'sconfidentialityprovisionsandbelow. IftheCustomerhasacceptedorthepartieshaveotherwiseagreedto Google'sthen-currenttermsdescribingdataprotectionandprocessing obligationswithrespecttoCustomerDataasstatedathttps://workspace.google.com/terms/dpa_terms.html(the 'DataProcessingAmendment'or 'DPA'),theDPAwillapplytoPre-GA Offeringsas'Services'forpurposesoftheDPAand,forclarity,this Section6willformpartofthe'Agreement'referredtoinSection5.2.1 (Customer'sinstructions)oftheDPA,subjecttothefollowing amendments: (i)Pre-GAOfferingsarenot'AuditedServices'undertheDPA; (ii)TheCustomeracknowledgesthat,forpurposesofSection6.1 (DeletionduringTerm)oftheDPAandtotheextentpermittedby applicablelaw,thefunctionalityofthePre-GAOfferingsmaynotallow deletionofCustomerTestDataduringtheperiodduringwhichthe CustomerispermittedtousethePre-GAOffering('Pre-GATerm'),butthatCustomerTestDatawillbe deleteduponexpiryoftheTerminaccordancewithSection6.2(Deletion onTermexpiry)oftheDPA; (iii)UnlessstatedotherwiseintheapplicableTestApplication:(A) informationaboutSubprocessors(asdefinedintheDPA)engagedin relationtoPre-GAOfferings,includingtheirfunctionsandlocations, willbemadeavailableinwritingbyGoogleuponrequestfromthe Customer;and(B)GooglewillinformtheCustomeroftheengagement duringthePre-GATermofanynewthird-partySubprocessorinrelationto Pre-GAOfferings(includingthenameandlocationoftheSubprocessorand itsactivities)bysendinganemailtotheNotificationEmailAddress beforetheSubprocessorstartsprocessinganyCustomerTestData.The Customermay,asitssoleandexclusiveremedyiftheCustomerobjectsto theSubprocessor,ceaseusingtheapplicablePre-GAOffering. (c)NodatalocationorAccess Transparency.CustomerTestDataprocessedunderthisSection6 willnotbesubjecttoanydatalocationorAccessTransparency requirements(whichcanbefoundathttps://cloud.google.com/access-transparency/and https://workspace.google.com/terms/service-terms). (d)Userestrictionforgovernment Customers.UnlessauthorisedinwritingbyGoogle,thefollowing CustomersmayonlyusetestorexperimentaldatawithPre-GAOfferings andareprohibitedfromusingany'live'orproductiondatainconnection withPre-GAOfferings:USorothergovernmentcustomers,including federal,national,state,provincialorlocalgovernmentorregulatory entitiesoragenciesandexcludingCustomersthatareeducational institutions. (e)Feedback.TheCustomermayprovide feedbackandsuggestionsaboutthePre-GAOfferingstoGoogle,andGoogle anditsAffiliatesmayuseanyfeedbackorsuggestionsprovidedwithout restrictionandwithoutobligationtotheCustomer. 6.2OtherTerms.PRE-GAOFFERINGSAREPROVIDED 'ASIS'WITHOUTANYEXPRESSORIMPLIEDWARRANTIESORREPRESENTATIONSOFANY KIND.Pre-GAOfferings(a)maybechanged,suspendedordiscontinuedatany timewithoutpriornoticetotheCustomerand(b)arenotcoveredbyanySLA orGoogleindemnity.ExceptasotherwiseexpresslyindicatedinaTest ApplicationorotherdocumentationormaterialsforagivenPre-GAOffering, (i)Pre-GAOfferingsmaynotbecoveredbyTSSand(ii)theCustomermaynot usePre-GAOfferingstoprocessprotectedhealthinformationasdefinedin HIPAA.WithrespecttoPre-GAOfferings,tothemaximumextentpermittedby applicablelaw,Googlewillnotbeliableforanyamountsinexcessofthe lesserof(A)thelimitationontheamountofliabilitystatedinthe Agreementor(B)$25,000.Nothingintheprecedingsentencewillaffectthe remainingtermsoftheAgreementrelatingtoliability(includingany specificexclusionsfromanylimitationofliability).Googlemayterminate theCustomer'suseofaPre-GAOfferingatanytimewithwrittennoticeto theCustomer. 7.VerificationusingDomainEmailAddress.Thefollowing additionaltermsapplyonlywhenaDomainEmailAddress(ratherthanaDomain Name)isverifiedtousetheServices: 7.1InvitingEndUsers.TheCustomermay inviteotheruserswithaDomainEmailAddresstousetheservices.Ifthose usersaccepttheCustomer'sinvitationtousetheservices,theywillbe consideredtheCustomer'sEndUsersundertheAgreement. 7.2DomainNameverification. (a)AnypersonorentitymayverifytheDomainNamecorrespondingtothe DomainEmailAddressatanytime('Verifying Party'). (b)TheVerifyingPartywilltakeownershipandcontrolofEndUser AccountscorrespondingwiththeDomainNameandallassociateddata withinsuchEndUserAccountsimmediatelyafterverifyingtheDomain Name. (c)CustomerandallEndUserswillbenotifiedwhentheDomainNameis verified. (d)AdministrationafterDomainName verification.TheVerifyingPartywillbeabletodothefollowing withrespecttotheCustomer'sAccountandallsuchEndUserAccounts: (i)access,monitor,use,modify,withholdordiscloseCustomerData; (ii)controlaccountsettings(includingchangingaccountpasswords); (iii)controlaccesstoanduseoftheServices;(iv)restrictabilityto accessinformationorsettings;(v)restricttheabilitytodisassociate theCustomer'sAccountandallEndUserAccounts(includingCustomerData anddatawithintheCustomer'sAccountandallEndUserAccounts)from theVerifyingParty;(vi)removeordisableanyServices,Additional ProductsorotherServices/productsenabled,used,downloadedor installedusingtheCustomer'sAccountoranyEndUserAccount correspondingwiththeDomainName;and(vii)suspendorterminateuseof theServices. 7.3Datadeletion.Inamannerconsistentwith thefunctionalityandadministrationoftheservices,andunlesstheuseof theserviceshasbeensuspendedinaccordancewiththeAgreement,atanytime beforetheVerifyingPartytakesownershipandcontroloftheDomainNameand allassociatedEndUserAccounts(includingtheCustomer'sAccount),the CustomeroritsEndUserscandeleteorexportCustomerDataand/ordelete itsEndUserAccount(s).AftertheVerifyingPartytakesownershipand controloftheDomainNameandallassociatedEndUserAccounts(including theCustomer'sAccount),theCustomeroritsEndUsersmaynotbeableto deletetheEndUserAccount(s)andmaynotbeabletodeleteorexportany CustomerDatadependingontheadministrationoftheServices. 7.4Dataprocessinginstruction.Ifnoaction todeleteorexportanyCustomerDatabeforetheVerifyingPartytakes ownershipandcontrolofDomainNameandallassociatedEndUserAccounts (includingCustomer'sAccount),then,notwithstandinganytermtothe contraryintheDataProcessingAmendment(ifapplicable),theCustomer acknowledgesthattheseService-SpecificTermsformpartoftheAgreement and,assuch,documentCustomer'sspecificinstructionstoGoogleto:(a) retainafterterminationoftheAgreementasdescribedinSection7.6 (TerminationafterDomainVerification)allCustomerDatathathasnotbeen deletedbytheCustomerpriortosuchtermination;and(b)makeallsuch retainedCustomerDataavailabletotheVerifyingParty. 7.5Consenttoadministration.Where applicable,theCustomeragreestoallow:(a)theVerifyingPartytohavethe accessandcapabilitiesdescribedintheAgreement;and(b)Googletoprovide theVerifyingPartywiththeaccessandcapabilitiesdescribedinthe Agreement. 7.6Terminationafterdomainverification. WheretheVerifyingPartyisathirdparty,thisAgreementwillautomatically terminatewhentheVerifyingPartytakesownershipandcontroloftheDomain NameandallassociatedEndUserAccounts(includingtheCustomer'sAccount). Forclarity,thissectiondoesnotaffectanyenduserrightswhichmaybe grantedbytheVerifyingPartyunderitsown(separate)GoogleWorkspace agreement. 7.7Serviceslimitations.SomeServices, featuresandfunctionalitymaynotbeavailableunlessanduntiltheDomain Nameisverified. 8.GoogleTelephonyServices.Thefollowingtermsapplyonlyto (i)GoogleVoiceand(ii)useofGoogleMeettoperformoutbounddiallingand acceptinboundcalls('GoogleMeetTelephony'),as applicable(andforthepurposesofthisSection8,GoogleVoiceandGoogleMeet Telephonyarecollectivelyreferredtoas'Google TelephonyServices').THESETERMSCONTAINIMPORTANTINFORMATIONABOUT EMERGENCYSERVICESLIMITATIONS.PLEASEREADCAREFULLY: 8.1GoogleTelephonyServicesPartiesandcontract structure. (a)GoogleTelephonyServicesProvider. SubjecttoSection8.1(d),theapplicableGoogleAffiliatelistedinthe applicableServiceandTelephonyProviderList(suchAffiliateineach case,the'GoogleTelephonyService Provider'or'GTSP')willprovide theapplicableGoogleTelephonyServicestotheCustomer,asdescribedin Section8.1(b)(GoogleTelephonyAgreementstructure). (b)GoogleTelephonyAgreementstructure. SubjecttoSection8.1(d)andinrelationonlytotheapplicableGoogle TelephonyServices,theGoogleWorkspaceEntityisadulyauthorised agentofGTSPandcontractsonbehalfofGTSP.Accordingly: (i)IftheCustomerchoosestoorderanyGoogleTelephonyServicesin additiontotheotherServicesorderedbytheCustomerunderthe Agreement,thisSection8.1togetherwiththeothertermsofthe Agreement(includingtheDataProcessingAmendmentandalllimitationsof liability)willformaseparateagreement(the'GoogleTelephonyAgreement')enteredintobythe applicableGTSP(viatheGoogleWorkspaceEntityasitsdulyauthorised agent)andtheCustomerwithrespecttosuchGoogleTelephonyServices only,subjecttotheremainingtermsofthisSection8.1. (ii)TheGoogleTelephonyAgreementwilltakeeffectasofthe effectivedateoftheCustomer'sinitialorderofGoogleTelephony Servicesand,subjecttoearlierterminationinaccordancewithits terms,willcontinueuntiltheearliesttooccurof(A)terminationof theGoogleTelephonyAgreementinaccordancewithitsterms;or(B) terminationorexpiryoftheAgreement.TheGoogleTelephonyAgreement willsupersedetheAgreementonlywithrespecttotheGoogleTelephony Services. (iii)ForthepurposesoftheGoogleTelephonyAgreement,all references(excludingthoseintheServicesSummaryandthisSection8of theseService-SpecificTerms)to'Agreement'arereplacedwith'Google TelephonyAgreement';totheentity'Google'arereplacedwith'GTSP'; andto'Services'or'CoreServices'arereplacedwith'GoogleTelephony Services'. (iv)TheCustomermayenforcerightsandbenefitsundertheGoogle TelephonyAgreementagainstGTSPonly,nottheGoogleWorkspaceEntity, andwilloweobligationsundertheGoogleTelephonyAgreement(including obligationstopayallapplicableFees)toGTSPonly,nottheGoogle WorkspaceEntity. (v)NotwithstandinganythingtothecontraryintheAgreement,inthe eventofaconflictbetweenthisSection8.1andanyothertermofthe GoogleTelephonyAgreement(includingthe'ConflictingTerms'sectionof theAgreementandthe'EffectofAmendment'sectionoftheData ProcessingAmendment),thetermsofthisSection8.1willprevail. (vi)EitherpartymayterminatetheGoogleTelephonyAgreement separatelyfromtheAgreementassetoutinthe'TermandTermination' sectionoftheAgreement.IftheCustomerterminatesitsuseofGoogle VoiceasdescribedinSection8.10(TerminationofGoogleVoicebythe Customer),suchterminationwillautomaticallyterminatetheGoogle TelephonyAgreement. (c)RegionalTerms.TheRegionalTermsare incorporatedintotheGoogleTelephonyAgreementandapplytotheextent thatanEndUserusesGoogleVoiceinacountrydescribedintheRegional Terms. (d)Applicability.ForCustomerswitha billingaddressinCanadaorItaly:(i)Section8.1(a)(GoogleTelephony ServicesProvider)andSection8.1(b)(GoogleTelephonyAgreement Structure)donotapplywithrespecttoGoogleVoice;(ii)Googlewill provideGoogleVoicetoCustomerand(iii)withrespecttoGoogleVoice, allreferencestothe'GoogleTelephonyServiceProvider'or'GTSP'in theseService-SpecificTermsmeanGoogle. 8.2ProvisionofGoogleTelephonyServices. (a)Datause. (i)Datacollectionanduse.GTSPwill collectanduseCustomerDatainaccordancewiththeGoogleTelephony Servicesprivacydisclosureprovidedathttps://workspace.google.com/terms/service-terms/voice/privacy_disclosure.html. (ii)Subscriberdirectory.GTSPwill notprovideCustomer'soritsEndUsers'GoogleVoicenumbersto directoryservicesunlessrequestedtodosobyCustomerorotherwise requiredbylaw. (b)TelephonyProviders. (i)AffiliateProviders.GTSPmayuse itsAffiliatestoprovideGoogleTelephonyServicesasdescribedinthe ServiceandTelephonyProviderList. (ii)Non-AffiliateTelephony Providers.GTSPanditsAffiliatesusenon-Googlethird-party subcontractors('TelephonyProviders')to routeinboundandoutboundtelephonecalls,asapplicable,viathepublic switchedtelephonenetwork(PSTN).TelephonyProvidersandtheir locationsareidentifiedintheServiceandTelephonyProviderList.By usingGoogleTelephonyServices,theCustomerinstructsGTSPtoengage, andtohaveitsAffiliatesengage,TelephonyProvidersto: (1)routeoutboundandinboundtelephonecalls,asapplicable; and (2)processCustomerDataasindependentcontrollersinthe countriesinwhichtheyarelocated: a)totheminimumextentrequiredforsuchrouting;and b)inaccordancewithapplicablelaws(includingEuropean dataprotectionlawsandtelecommunicationsregulations). Forclarity,TelephonyProvidersarenotSub-processors(asdefinedin theDataProcessingAddendum). 8.3Additionalpaymentterms. (a)GoogleTelephonyServicesinvoices. ApplicableFeesandothercostsarisingfromtheCustomer'sorEndUsers'use ofGoogleTelephonyServicesareinvoicedseparatelyfromotherGoogle WorkspaceServicesandaresubjecttothepaymenttermsoftheGoogle TelephonyAgreement. (b)CallingRates.Inadditiontothe Fees,theCustomerwillpayGTSPforcallsbasedonusage,ifapplicable. Theseusagecostsarecalculatedusingthethen-currentapplicableCalling Rates. (c)Taxes.Notwithstandinganythingtothe contraryintheGoogleTelephonyAgreement,theCustomerwillpayapplicable Taxesregardlessofanytaxexemptioncertificates.InvoicedTaxesmay includeTaxesassociatedwithanEndUser'suseofGoogleTelephonyServices outsideofthecountryinwhichtheEndUserisusingGoogleTelephony Services. 8.4GoogleVoicerequirements;GTSP disclaimer. (a)GoogleVoicerequirements. ThisSection8.4(a)appliesonlytoGoogleVoiceandNOTtoGoogle MeetTelephony.UseofGoogleVoicemayrequireaseparatebroadband ormobiledataconnectionandanEndUserdevicecompatiblewithcertain minimumtechnicalrequirements.GTSPwillmakeavailabletotheCustomera descriptionofanyminimumdevicerequirements.Out-of-countryorother roamingusageofGoogleVoicemayincurhighercoststoEndUsersfromtheir mobilenetworkoperators. (b)GTSPdisclaimer.GTSPisnot responsibleforanydisruptionorfailureofGoogleTelephonyServicesdueto delays,outagesordisruptionsin:(i)theCustomer'sdataconnection,(ii) TelephonyProviders'networksor(iii)theoperationoftheCustomer'sorEnd User'sdevices.UsingGoogleTelephonyServicesonmobiledevicesmayuseEnd Users'voiceordataallowancespurchasedfromtheirmobilenetwork operators. 8.5GoogleVoicecapabilities.This Section8.5appliesonlytoGoogleVoiceandNOTtoGoogleMeet Telephony. (a)Numberassignmentandavailability. WhereGoogleVoicepermitsassignmentofphonenumbers,thefollowingwill apply: (i)numberactivationmayrequirecollectionbyGTSPofinformation requiredbyapplicabletelecommunicationsregulations,includingthe Customer'sserviceaddressandtaxID; (ii)insomecountries,theserviceaddressmustmatchthearea coveredbythenumbertobeassigned; (iii)numberactivationmaynotbeinstantaneousuponrequest;and (iv)inactivenumbersmayberemovedfromtheCustomer'saccount. (b)Numberporting.TheCustomermayport existingnumbersfromotherserviceproviderstoGoogleVoice,totheextent GoogleVoiceoffersnumberassignment,andmayrequestthatassignedphone numbersbereleasedtoanotherserviceprovider,subjecttoSections 8.5(b)(i)-(iv)below. (i)Inboundporting.Totransfera numberfromanotherserviceprovider,theCustomermustfollowthe processdescribedatsupport.google.com/a/go/voice-porting,asthatsitemaybe updatedfromtimetotime.TheCustomermayonlyportinnumberstoan activeaccount.Inboundnumberportingmaynotbeavailableinall locationswhereGoogleVoiceisoffered. (ii)Outboundporting.Totransferan assignednumbertoanotherserviceprovider,theCustomermustfollow thatserviceprovider'sportingprocess.GTSPwillprocesstheporting requestuponnotificationfromtheCustomer'snewserviceproviderthat theCustomerhassubmittedaportingrequest.GTSPisnotresponsiblefor anydelaysordisruptionsinservicecausedbythenumberportout process,inaccurateorerroneousportingrequestsmadebytheCustomeror Customer'snewserviceprovider,orfraudulentportingrequestsmadeby thirdparties. (iii)Customerobligations.The Customerisresponsiblefor(A)theaccuracyofinformationprovidedto GTSPassociatedwithaportingrequest;(B)feesassociatedwithporting anumber,includingfeesassociatedwithremainingnumbersandplansand (C)anyFeesowedtoGTSPassociatedwithanumberuptowhenthenumber issuccessfullyported,totheextentpermittedbyapplicablelaws. (iv)Servicetermination.GTSPmay releaseanyGoogleVoicenumberafterterminationorexpiryofthe applicableEndUserlicenceiftheCustomerdoesnotportthenumberto anotherserviceproviderpriortosuchterminationorexpiry. (c)CallerID.GoogleVoiceallowsthe displayoftheCustomer'sGoogleVoicenumberonreceivingdeviceswhere technicallypossible.EndUsersmaysuppressthedisplayofthenumber permanentlyoronacallbycallbasis.Fortechnicalreasons,GTSPmaynot beabletosuppressGoogleVoicenumbersinallcases,includingcallsto EmergencyNumbers. (d)Numberblocking.UponCustomer request,GTSPwillblockorunblocktheuseofGoogleVoicetocallspecific numbers,numberrangesortypesofnumbers(includingvalue-addedservices) totheextenttechnicallyfeasible. (e)Callrecording.GoogleVoicemayallow EndUserstorecordindividualtelephoneconversations.TheCustomeragrees notto,andnottoallowitsEndUsersto,recordtelephoneconversations withoutconsentifsuchconsentisrequiredbyapplicablelawsand regulations. 8.6GoogleTelephonyServiceslimitations. GoogleTelephonyServicesmaynot: (a)includeoperator-assisteddiallingandcallstoshortcodes (additionalfeesmayapplyforthesecalls); (b)support'reversecharge'or'chargeback'calls;or (c)supportcallsorconnectionstocertainnumbers,including,asan example,premiumratenumbers. 8.7GoogleVoiceuserestriction.This Section8.7appliesonlytoGoogleVoiceandNOTtoGoogleMeet Telephony.TheCustomerwillnotsub-assignnumbersto,provide accesstoorotherwiseenableuseofGoogleVoicebyindividualsunderthe ageoflegalconsentasdeterminedbytheapplicablelawsoftherelevant jurisdiction.GTSPmaysuspendorpermanentlydisableanyaccountsthatare usedbyorprovisionedtosuchindividuals. 8.8Emergencyservices.Subsection 8.8(a)appliesonlytoGoogleMeetTelephonyandNOTtoGoogleVoice.All othersubsections((b)–(f))ofSection8.8applyonlytoGoogleVoiceand NOTtoGoogleMeetTelephony. (a)One-waydialling.Diallingto emergencyservicesisnotavailableforone-waydiallingfeaturesofGoogle MeetTelephony.EndUserswillnotbeabletoplaceorreceiveemergency servicescalls.TheCustomerisresponsibleforensuringthatEndUsershave accesstoanalternativemeansofdiallingemergencyservices. (b)Two-waydialling.Diallingto emergencyservicesissupportedbyGoogleVoice.IP-basedtelephonyemergency diallingserviceshavecertainlimitationswhencomparedtotraditional emergencydiallingandwillfunctiondifferentlyfromtraditionalemergency dialling.Thefollowingprovisionsdescribethoselimitationsand differences;additionalcountry-specificlimitationsaredescribedinthe RegionalTerms.TheCustomerherebyacknowledgesandacceptsthedifferences betweentraditionaltelephoneservicesandIP-basedtelephonycallswith respecttocallsmadetoemergencyservices,asdescribedherein: (i)Descriptionofemergencydialling service.EndUsersofthetwo-waydiallingfeaturesofGoogle Voicearecapableofcallingandreceivingcallsfromemergencyservices freeofcharge.EmergencyservicesvarydependingonEndUser'slocation. WhenanEndUsercallstheemergencyservices,GTSPwillprovideto emergencyresponseoperatorstheEndUser'sphonenumberandaddressthat CustomerhasprovidedtoGoogle(seeSection8.8(d)(Customer obligations)below).EndUsersmayneedtoconfirmtheirphysical locationandcall-backnumberbecausetheemergencyoperatormaynothave thisinformation. (ii)Limitationsonemergencydialling service.Thefollowinglimitationsapplytotheavailabilityof theGoogleVoiceemergencydiallingservice:(A)theservicemaynotbe availableintheeventofanInternetorpoweroutageordisruption;(B) emergencycallsmaytakelongertoconnecttothePublicSafetyAnswering Pointthantraditionalemergencyservicesdialling,mayproduceabusy signalormaynotconnect;(C)emergencycallsmaycorrectlyconnectto thePSAP,buttheEndUser'sphonenumberorlocationmaynot automaticallybetransmittedandtheemergencyservicesoperatormaynot beabletocallback;(D)emergencycallsmadewhileroamingmaybe routedtothelocalPSAPassociatedwiththeEndUser'sregistered address(theCustomerwilladviseEndUserstousetheirnativedialler whileroaming);(E)deaf,hardofhearing,orspeechimpairedEndUsers shouldcalllocalemergencyservicesdirectlyusingTTYora telecommunicationsrelayservice,insteadof711oralocalequivalent; (F)ifEndUsershavemultipledevicesassociatedwiththeiraccount number(i)returncallsfromthePSAPmaynotringeachassociateddevice and(ii)theemergencyoperatormayseeaphonenumberthatisdifferent fromtheEndUser'spersonalphonenumber;(G)iftheEndUserhas disabledincomingcalls,thePSAPmaynotbeabletocallback;(H)ifa callfailsusingGoogleVoice,EndUsersmaybedirectedtocomplete emergencycallsusingthenativediallerontheirdevices;and(I) emergencycallingisnotavailablethroughthiscallingserviceif(i) usingtheinbound-onlyGoogleVoiceservice,or(ii)callsaredirected throughthevoicenetworkoftheuser'smobileoperator,whenusingthe nativedialleroftheEndUser'sdevice.InCanadaandcertainother locations,thenumberandlocationprovidedbytheemergencycallermust beverballyprovidedbyGoogle'semergencyoperatortotheappropriate PSAP;if,however,thecallerisunabletoprovidetheirlocationtothe operator,thecallerwillberoutedtothePSAPthatservicesthe caller'sregisteredaddress. (c)Textingtoemergencyservices.Texting toemergencyservicesmaynotbesupportedbyGoogleVoice.Any text-to-emergency-servicesfeaturemadeavailablethroughGoogleVoicemay notbesupportedoveraWi-Finetwork. (d)Customerobligations.Withrespectto Section8.8(b)(Two-waydialling),theCustomerisresponsibleforthe following:(i)ensuringthattheaddressregisteredwithinGoogleVoicefor eachEndUseristhecurrentphysicaladdresswheretheEndUserwilluse GoogleVoice(failuretoprovidecurrentaddressesmaycausethewrong emergencyresponsecentretobecontacted,anddelayemergencyresponseto EndUsers);(ii)informingEndUsersthattheirphysicaladdresseswillbe sharedwithTelephonyProviders;(iii)informingEndUsersthattheymayneed toprovidetheirphysicallocationandcall-backnumbertothePSAP,once connected;(iv)ensuringthatEndUsershaveaccesstoanalternativemeans ofcallingemergencyservices;and(v)informingEndUsersofthelimitations oftheemergencydiallingservices(theCustomermaydownloadandprinta warninglabeltoaffixtoalldevicesthatmaybeusedtoaccessGoogleVoice atsupport.google.com/voice/go/emergency-services). (e)Emergencyalerts.Emergencyalertsmay notbereceivedviaGoogleVoiceifdevicesaresettoWi-Fionlymodeorthe mobileserviceisnotavailable. (f)Disclaimerofemergencyservices liability.Tothefullestextentpermittedbylaw,neitherGTSPnor anyofitsAffiliateswillhaveanyliabilityundertheGoogleTelephony Agreement(whetherincontract,tort(includingnegligence)orotherwise)for damagesofanytype(includingdirectandindirectdamages)arisingunderor inconnectionwiththeuseorattempteduseofGoogleVoicetoaccess emergencyservices,includingbutnotlimitedtoanyinabilitytoaccesssuch services,anydelaysinemergencyserviceresponse,conductofemergency servicesresponsecentresoroperators,orinaccuracyofinformationprovided toemergencyservicesbyTelephonyProvidersorotherthirdpartiesengaged byGTSPoritsAffiliatestofacilitatetheprovisionofemergencyservices access. 8.9Suspension.Inadditiontothesuspension rightsdescribedintheGoogleTelephonyAgreement,GTSPmayblockincoming andoutgoingGoogleTelephonyServicescallsormessagesifGTSPreasonably determinesthattheCustomeroranyEndUserhasusedGoogleTelephony Servicestoengageinthefollowingprohibitedactivities: (a)generatingorfacilitatingunsolicitedcommercialmessages;or (b)inflatingcalltraffic(e.g.trafficpumping,internationalrevenue sharefraud). 8.10TerminationofGoogleVoicebythe Customer.ThisSection8.10appliesonlytoGoogleVoiceand NOTtoGoogleMeetTelephony.Inadditiontoanyothertermination rights,theCustomermayterminateitsuseofGoogleVoiceatanytimeby providingwrittennoticetoGTSP.TheCustomermustceaseuseofGoogleVoice immediatelyupontermination. 8.11Additionaldefinitions. 'CallingRates'arethethen-currentdialling ratesdescribedat(i)forGoogleVoice,https://voice.google.com/rates,and(ii)forGoogleMeet Telephony,https://meet.google.com/u/0/tel/rates. 'EndUser'includes,(i)forthepurposesof GoogleVoice,potentialuserswhomaybepresentatthephysicallocation whereadeviceconnectedtoGoogleVoiceislocatedandmadeavailablefor use;and(ii)forthepurposesofGoogleMeet,potentialuserswhomayuse theGoogleMeetTelephonyservicestodialintooroutofGoogleMeet meetings. 'Fees'includes,withrespecttoGoogleVoice, thefeesdescribedathttps://workspace.google.com/products/voice. 'GoogleWorkspaceEntity'istheGoogleentity withwhichCustomercontractsforotherGoogleWorkspaceServices,asdefined intheAgreement. 'PublicSafetyAnsweringPoint'or 'PSAP'meanstheapplicablepublicsafety answeringpointbasedonanEndUser'sregisteredlocation. 'RegionalTerms'meansthetermsdescribedat https://workspace.google.com/terms/service-terms/voice/regional_terms.html. 'TelephonyProvider'hasthemeaninggivenin Section8.2(b)(TelephonyProviders)oftheseService-SpecificTerms. 'ServiceandTelephonyProviderList'means thethen-currentlistofServiceandTelephonyProvidersat(i)forGoogle Voice,https://workspace.google.com/terms/service-terms/voice/providers.html, and(ii)forGoogleMeetTelephony,https://workspace.google.com/terms/service-terms/meet-telephony/providers.html *Ifanofflinedocumentrefersto'GoogleVoiceServiceProvider'or'GVSP', thosereferencesaredeemedtobe'GoogleTelephonyServicesProvider'or 'GTSP'asusedintheseService-SpecificTermsandtheGoogleTelephony Agreement. 9.GoogleDrive.ThefollowingtermsapplyonlytoDrive: 9.1UseofGoogleDriveforcontent distribution.GoogleDriveisnotintendedforuseasacontent distributionnetworkandGooglemayrestrictGoogleDriveusageandaccessif Google,initsreasonablediscretion,determinesthatGoogleDriveisbeing usedinviolationoftheAUPorforinfringing,unlawfulorbulkdistribution ofcontentincludingvideos.AnyGoogleDrive-hostedvideothatisshared publiclyoutsideoftheCustomer'sdomainmustcomplywithYouTubeCommunity Guidelines(availableathttps://www.youtube.com/howyoutubeworks/policies/community-guidelines/ orasuccessorURL). 10.Userexperienceresearch.IftheCustomerenrolsintheGoogle CloudUserExperienceResearchProgrammeforGoogleWorkspace,theCustomer's participationwillbesubjecttotheGoogleCloudUserExperienceResearchPanel Addendumavailableathttps://cloud.google.com/terms/user-experience-research. 11.Client-sideencryption.Googleisnotresponsibleforany aspectoftheexternalencryptionkeymanagementservicechosenbyCustomer. Customerbearssoleresponsibilityforthatservice,includingallencryptionkeys generatedbysuchkeymanagementserviceforusewithclient-sideencryption. NotwithstandinganytermtothecontraryintheDataProcessingAmendment,Google willbeunabletorecoveranyencryptionkeyoranycustomerdataencryptedbythat encryptionkeyiftheencryptionkeyislost,stolen,orcorrupted.Client-side encryptionwillbecomeentirelyunavailableforallapplicableServicesifthe externalkeymanagementserviceisinterruptedorbecomesinaccessible. 12.Regionalterms. 12.1Japan.Ifthecustomer'sbillingaddressis inJapan,thenGmail,ChatandMeetwillbeprovidedbyGoogleConnectAsia PacificPte.Ltd.('GCAP'),althoughinvoices willstillbesentbyGoogleAsiaPacificPte.Ltd.Inrelationonlytothe foregoingServices,GoogleAsiaPacificPte.Ltd.isadulyauthorisedagentof GCAPandcontractsonbehalfofGCAP.
