3.1WhereGooglehasprovidedyouwithatranslationoftheEnglishlanguageversionoftheTerms,thenyouagreethatthetranslationisprovidedforyourconvenienceonlyandthattheEnglishlanguageversionsoftheTermswillgovernyourrelationshipwithGoogle. 3.2IfthereisanycontradictionbetweenwhattheEnglishlanguageversionoftheTermssaysandwhatatranslationsays,thentheEnglishlanguageversionshalltakeprecedence. 4.ProvisionoftheServicesbyGoogle 4.1Googlehassubsidiariesandaffiliatedlegalentitiesaroundtheworld(“SubsidiariesandAffiliates”).Sometimes,thesecompanieswillbeprovidingtheServicestoyouonbehalfofGoogleitself.YouacknowledgeandagreethatSubsidiariesandAffiliateswillbeentitledtoprovidetheServicestoyou. 4.2Googleisconstantlyinnovatinginordertoprovidethebestpossibleexperienceforitsusers.YouacknowledgeandagreethattheformandnatureoftheServiceswhichGoogleprovidesmaychangefromtimetotimewithoutpriornoticetoyou. 4.3Aspartofthiscontinuinginnovation,youacknowledgeandagreethatGooglemaystop(permanentlyortemporarily)providingtheServices(oranyfeatureswithintheServices)toyouortousersgenerallyatGoogle’ssolediscretion,withoutpriornoticetoyou.YoumaystopusingtheServicesatanytime.YoudonotneedtospecificallyinformGooglewhenyoustopusingtheServices. 4.4YouacknowledgeandagreethatifGoogledisablesaccesstoyouraccount,youmaybepreventedfromaccessingtheServices,youraccountdetailsoranyfilesorothercontentwhichiscontainedinyouraccount. 4.5YouacknowledgeandagreethatwhileGooglemaynotcurrentlyhavesetafixedupperlimitonthenumberoftransmissionsyoumaysendorreceivethroughtheServicesorontheamountofstoragespaceusedfortheprovisionofanyService,suchfixedupperlimitsmaybesetbyGoogleatanytime,atGoogle’sdiscretion. 5.UseoftheServicesbyyou 5.1InordertoaccesscertainServices,youmayberequiredtoprovideinformationaboutyourself(suchasidentificationorcontactdetails)aspartoftheregistrationprocessfortheService,oraspartofyourcontinueduseoftheServices.YouagreethatanyregistrationinformationyougivetoGooglewillalwaysbeaccurate,correctanduptodate. 5.2YouagreetousetheServicesonlyforpurposesthatarepermittedby(a)theTermsand(b)anyapplicablelaw,regulationorgenerallyacceptedpracticesorguidelinesintherelevantjurisdictions(includinganylawsregardingtheexportofdataorsoftwaretoandfromtheUnitedStatesorotherrelevantcountries). 5.3Youagreenottoaccess(orattempttoaccess)anyoftheServicesbyanymeansotherthanthroughtheinterfacethatisprovidedbyGoogle,unlessyouhavebeenspecificallyallowedtodosoinaseparateagreementwithGoogle.Youspecificallyagreenottoaccess(orattempttoaccess)anyoftheServicesthroughanyautomatedmeans(includinguseofscriptsorwebcrawlers)andshallensurethatyoucomplywiththeinstructionssetoutinanyrobots.txtfilepresentontheServices. 5.4YouagreethatyouwillnotengageinanyactivitythatinterfereswithordisruptstheServices(ortheserversandnetworkswhichareconnectedtotheServices). 5.5UnlessyouhavebeenspecificallypermittedtodosoinaseparateagreementwithGoogle,youagreethatyouwillnotreproduce,duplicate,copy,sell,tradeorreselltheServicesforanypurpose. 5.6Youagreethatyouaresolelyresponsiblefor(andthatGooglehasnoresponsibilitytoyouortoanythirdpartyfor)anybreachofyourobligationsundertheTermsandfortheconsequences(includinganylossordamagewhichGooglemaysuffer)ofanysuchbreach. 6.Yourpasswordsandaccountsecurity 6.1YouagreeandunderstandthatyouareresponsibleformaintainingtheconfidentialityofpasswordsassociatedwithanyaccountyouusetoaccesstheServices. 6.2Accordingly,youagreethatyouwillbesolelyresponsibletoGoogleforallactivitiesthatoccurunderyouraccount. 6.3Ifyoubecomeawareofanyunauthorizeduseofyourpasswordorofyouraccount,youagreetonotifyGoogleimmediatelyathttp://www.google.com/support/accounts/bin/answer.py?answer=58585. 7.Privacyandyourpersonalinformation 7.1ForinformationaboutGoogle’sdataprotectionpractices,pleasereadGoogle’sprivacypolicyathttp://www.google.com/privacy.html.ThispolicyexplainshowGoogletreatsyourpersonalinformation,andprotectsyourprivacy,whenyouusetheServices. 7.2YouagreetotheuseofyourdatainaccordancewithGoogle’sprivacypolicies. 8.ContentintheServices 8.1Youunderstandthatallinformation(suchasdatafiles,writtentext,computersoftware,music,audiofilesorothersounds,photographs,videosorotherimages)whichyoumayhaveaccesstoaspartof,orthroughyouruseof,theServicesarethesoleresponsibilityofthepersonfromwhichsuchcontentoriginated.Allsuchinformationisreferredtobelowasthe“Content”. 8.4YouunderstandthatbyusingtheServicesyoumaybeexposedtoContentthatyoumayfindoffensive,indecentorobjectionableandthat,inthisrespect,youusetheServicesatyourownrisk. 8.5Youagreethatyouaresolelyresponsiblefor(andthatGooglehasnoresponsibilitytoyouortoanythirdpartyfor)anyContentthatyoucreate,transmitordisplaywhileusingtheServicesandfortheconsequencesofyouractions(includinganylossordamagewhichGooglemaysuffer)bydoingso. 9.Proprietaryrights 9.1YouacknowledgeandagreethatGoogle(orGoogle’slicensors)ownalllegalright,titleandinterestinandtotheServices,includinganyintellectualpropertyrightswhichsubsistintheServices(whetherthoserightshappentoberegisteredornot,andwhereverintheworldthoserightsmayexist).YoufurtheracknowledgethattheServicesmaycontaininformationwhichisdesignatedconfidentialbyGoogleandthatyoushallnotdisclosesuchinformationwithoutGoogle’spriorwrittenconsent. 9.2UnlessyouhaveagreedotherwiseinwritingwithGoogle,nothingintheTermsgivesyouarighttouseanyofGoogle’stradenames,trademarks,servicemarks,logos,domainnames,andotherdistinctivebrandfeatures. 9.3IfyouhavebeengivenanexplicitrighttouseanyofthesebrandfeaturesinaseparatewrittenagreementwithGoogle,thenyouagreethatyouruseofsuchfeaturesshallbeincompliancewiththatagreement,anyapplicableprovisionsoftheTerms,andGoogle'sbrandfeatureuseguidelinesasupdatedfromtimetotime.Theseguidelinescanbeviewedonlineathttp://www.google.com/permissions/guidelines.html(orsuchotherURLasGooglemayprovideforthispurposefromtimetotime). 9.4OtherthanthelimitedlicensesetforthinSection11,Googleacknowledgesandagreesthatitobtainsnoright,titleorinterestfromyou(oryourlicensors)undertheseTermsinortoanyContentthatyousubmit,post,transmitordisplayon,orthrough,theServices,includinganyintellectualpropertyrightswhichsubsistinthatContent(whetherthoserightshappentoberegisteredornot,andwhereverintheworldthoserightsmayexist).UnlessyouhaveagreedotherwiseinwritingwithGoogle,youagreethatyouareresponsibleforprotectingandenforcingthoserightsandthatGooglehasnoobligationtodosoonyourbehalf. 9.5Youagreethatyoushallnotremove,obscure,oralteranyproprietaryrightsnotices(includingcopyrightandtrademarknotices)whichmaybeaffixedtoorcontainedwithintheServices. 9.6UnlessyouhavebeenexpresslyauthorizedtodosoinwritingbyGoogle,youagreethatinusingtheServices,youwillnotuseanytrademark,servicemark,tradename,logoofanycompanyororganizationinawaythatislikelyorintendedtocauseconfusionabouttheownerorauthorizeduserofsuchmarks,namesorlogos. 10.LicensefromGoogle 10.1Googlegivesyouapersonal,worldwide,royalty-free,non-assignableandnon-exclusivelicensetousethesoftwareprovidedtoyoubyGoogleaspartoftheServicesasprovidedtoyoubyGoogle(referredtoasthe“Software”below).ThislicenseisforthesolepurposeofenablingyoutouseandenjoythebenefitoftheServicesasprovidedbyGoogle,inthemannerpermittedbytheTerms. 10.2Youmaynot(andyoumaynotpermitanyoneelseto)copy,modify,createaderivativeworkof,reverseengineer,decompileorotherwiseattempttoextractthesourcecodeoftheSoftwareoranypartthereof,unlessthisisexpresslypermittedorrequiredbylaw,orunlessyouhavebeenspecificallytoldthatyoumaydosobyGoogle,inwriting. 10.3UnlessGooglehasgivenyouspecificwrittenpermissiontodoso,youmaynotassign(orgrantasub-licenseof)yourrightstousetheSoftware,grantasecurityinterestinoroveryourrightstousetheSoftware,orotherwisetransferanypartofyourrightstousetheSoftware. 11.Contentlicensefromyou 11.1YouretaincopyrightandanyotherrightsyoualreadyholdinContentwhichyousubmit,postordisplayonorthrough,theServices.Bysubmitting,postingordisplayingthecontentyougiveGoogleaperpetual,irrevocable,worldwide,royalty-free,andnon-exclusivelicensetoreproduce,adapt,modify,translate,publish,publiclyperform,publiclydisplayanddistributeanyContentwhichyousubmit,postordisplayonorthrough,theServices.ThislicenseisforthesolepurposeofenablingGoogletodisplay,distributeandpromotetheServicesandmayberevokedforcertainServicesasdefinedintheAdditionalTermsofthoseServices. 11.2YouagreethatthislicenseincludesarightforGoogletomakesuchContentavailabletoothercompanies,organizationsorindividualswithwhomGooglehasrelationshipsfortheprovisionofsyndicatedservices,andtousesuchContentinconnectionwiththeprovisionofthoseservices. 11.3YouunderstandthatGoogle,inperformingtherequiredtechnicalstepstoprovidetheServicestoourusers,may(a)transmitordistributeyourContentovervariouspublicnetworksandinvariousmedia;and(b)makesuchchangestoyourContentasarenecessarytoconformandadaptthatContenttothetechnicalrequirementsofconnectingnetworks,devices,servicesormedia.YouagreethatthislicenseshallpermitGoogletotaketheseactions. 11.4YouconfirmandwarranttoGooglethatyouhavealltherights,powerandauthoritynecessarytogranttheabovelicense. 12.Softwareupdates 12.1TheSoftwarewhichyouusemayautomaticallydownloadandinstallupdatesfromtimetotimefromGoogle.Theseupdatesaredesignedtoimprove,enhanceandfurtherdeveloptheServicesandmaytaketheformofbugfixes,enhancedfunctions,newsoftwaremodulesandcompletelynewversions.Youagreetoreceivesuchupdates(andpermitGoogletodeliverthesetoyou)aspartofyouruseoftheServices. 13.EndingyourrelationshipwithGoogle 13.1TheTermswillcontinuetoapplyuntilterminatedbyeitheryouorGoogleassetoutbelow. 13.2IfyouwanttoterminateyourlegalagreementwithGoogle,youmaydosoby(a)notifyingGoogleatanytimeand(b)closingyouraccountsforalloftheServiceswhichyouuse,whereGooglehasmadethisoptionavailabletoyou.Yournoticeshouldbesent,inwriting,toGoogle’saddresswhichissetoutatthebeginningoftheseTerms. 13.3Googlemayatanytime,terminateitslegalagreementwithyouif: (A)youhavebreachedanyprovisionoftheTerms(orhaveactedinmannerwhichclearlyshowsthatyoudonotintendto,orareunabletocomplywiththeprovisionsoftheTerms);or (B)Googleisrequiredtodosobylaw(forexample,wheretheprovisionoftheServicestoyouis,orbecomes,unlawful);or (C)thepartnerwithwhomGoogleofferedtheServicestoyouhasterminateditsrelationshipwithGoogleorceasedtooffertheServicestoyou;or (D)GoogleistransitioningtonolongerprovidingtheServicestousersinthecountryinwhichyouareresidentorfromwhichyouusetheservice;or (E)theprovisionoftheServicestoyoubyGoogleis,inGoogle’sopinion,nolongercommerciallyviable. 13.4NothinginthisSectionshallaffectGoogle’srightsregardingprovisionofServicesunderSection4oftheTerms. 13.5WhentheseTermscometoanend,allofthelegalrights,obligationsandliabilitiesthatyouandGooglehavebenefitedfrom,beensubjectto(orwhichhaveaccruedovertimewhilsttheTermshavebeeninforce)orwhichareexpressedtocontinueindefinitely,shallbeunaffectedbythiscessation,andtheprovisionsofparagraph20.7shallcontinuetoapplytosuchrights,obligationsandliabilitiesindefinitely. 14.EXCLUSIONOFWARRANTIES 14.4ANYMATERIALDOWNLOADEDOROTHERWISEOBTAINEDTHROUGHTHEUSEOFTHESERVICESISDONEATYOUROWNDISCRETIONANDRISKANDTHATYOUWILLBESOLELYRESPONSIBLEFORANYDAMAGETOYOURCOMPUTERSYSTEMOROTHERDEVICEORLOSSOFDATATHATRESULTSFROMTHEDOWNLOADOFANYSUCHMATERIAL. 17.1SomeoftheServicesaresupportedbyadvertisingrevenueandmaydisplayadvertisementsandpromotions.TheseadvertisementsmaybetargetedtothecontentofinformationstoredontheServices,queriesmadethroughtheServicesorotherinformation. 17.2Themanner,modeandextentofadvertisingbyGoogleontheServicesaresubjecttochangewithoutspecificnoticetoyou. 17.3InconsiderationforGooglegrantingyouaccesstoanduseoftheServices,youagreethatGooglemayplacesuchadvertisingontheServices. 18.Othercontent 18.1TheServicesmayincludehyperlinkstootherwebsitesorcontentorresources.GooglemayhavenocontroloveranywebsitesorresourceswhichareprovidedbycompaniesorpersonsotherthanGoogle. 18.2YouacknowledgeandagreethatGoogleisnotresponsiblefortheavailabilityofanysuchexternalsitesorresources,anddoesnotendorseanyadvertising,productsorothermaterialsonoravailablefromsuchwebsitesorresources. 18.3YouacknowledgeandagreethatGoogleisnotliableforanylossordamagewhichmaybeincurredbyyouasaresultoftheavailabilityofthoseexternalsitesorresources,orasaresultofanyrelianceplacedbyyouonthecompleteness,accuracyorexistenceofanyadvertising,productsorothermaterialson,oravailablefrom,suchwebsitesorresources. 19.ChangestotheTerms 19.1GooglemaymakechangestotheUniversalTermsorAdditionalTermsfromtimetotime.Whenthesechangesaremade,GooglewillmakeanewcopyoftheUniversalTermsavailableathttp://www.google.com/accounts/TOS?hl=enandanynewAdditionalTermswillbemadeavailabletoyoufromwithin,orthrough,theaffectedServices. 19.2YouunderstandandagreethatifyouusetheServicesafterthedateonwhichtheUniversalTermsorAdditionalTermshavechanged,GooglewilltreatyouruseasacceptanceoftheupdatedUniversalTermsorAdditionalTerms. 20.Generallegalterms 20.1SometimeswhenyouusetheServices,youmay(asaresultof,orthroughyouruseoftheServices)useaserviceordownloadapieceofsoftware,orpurchasegoods,whichareprovidedbyanotherpersonorcompany.Youruseoftheseotherservices,softwareorgoodsmaybesubjecttoseparatetermsbetweenyouandthecompanyorpersonconcerned.Ifso,theTermsdonotaffectyourlegalrelationshipwiththeseothercompaniesorindividuals. 20.2TheTermsconstitutethewholelegalagreementbetweenyouandGoogleandgovernyouruseoftheServices(butexcludinganyserviceswhichGooglemayprovidetoyouunderaseparatewrittenagreement),andcompletelyreplaceanyprioragreementsbetweenyouandGoogleinrelationtotheServices. 20.3YouagreethatGooglemayprovideyouwithnotices,includingthoseregardingchangestotheTerms,byemail,regularmail,orpostingsontheServices. 20.4YouagreethatifGoogledoesnotexerciseorenforceanylegalrightorremedywhichiscontainedintheTerms(orwhichGooglehasthebenefitofunderanyapplicablelaw),thiswillnotbetakentobeaformalwaiverofGoogle’srightsandthatthoserightsorremedieswillstillbeavailabletoGoogle. 20.5Ifanycourtoflaw,havingthejurisdictiontodecideonthismatter,rulesthatanyprovisionoftheseTermsisinvalid,thenthatprovisionwillberemovedfromtheTermswithoutaffectingtherestoftheTerms.TheremainingprovisionsoftheTermswillcontinuetobevalidandenforceable. 20.6YouacknowledgeandagreethateachmemberofthegroupofcompaniesofwhichGoogleistheparentshallbethirdpartybeneficiariestotheTermsandthatsuchothercompaniesshallbeentitledtodirectlyenforce,andrelyupon,anyprovisionoftheTermswhichconfersabenefiton(orrightsinfavorof)them.Otherthanthis,nootherpersonorcompanyshallbethirdpartybeneficiariestotheTerms. 20.7TheTerms,andyourrelationshipwithGoogleundertheTerms,shallbegovernedbythelawsoftheStateofCaliforniawithoutregardtoitsconflictoflawsprovisions.YouandGoogleagreetosubmittotheexclusivejurisdictionofthecourtslocatedwithinthecountyofSantaClara,CaliforniatoresolveanylegalmatterarisingfromtheTerms.Notwithstandingthis,youagreethatGoogleshallstillbeallowedtoapplyforinjunctiveremedies(oranequivalenttypeofurgentlegalrelief)inanyjurisdiction.
