ThisAgreementiseffectivewhenCustomerclicksto acceptit(the"EffectiveDate").Ifyouareacceptingon behalfofCustomer,yourepresentandwarrantthat(i)you havefulllegalauthoritytobindCustomertothis Agreement;(ii)youhavereadandunderstandthis Agreement;and(iii)youagree,onbehalfofCustomer,to thisAgreement. 1. ProvisionoftheServices. 1.1 ServicesUse.DuringtheTerm,Google willprovidetheServicesinaccordancewiththe Agreement,includingtheSLAs,andCustomermayusethe Services,andintegratetheServicesintoanyCustomer Applicationthathasmaterialvalueindependentofthe Services,inaccordancewiththeAgreement. 1.2 AdminConsole.Customerwillhave accesstotheAdminConsole,throughwhichCustomermay manageitsuseoftheServices. 1.3 Accounts.CustomermusthaveanAccount tousetheServicesandisresponsiblefortheinformation itprovidestocreatetheAccount,thesecurityofits passwordsfortheAccount,andforanyuseofitsAccount. Googlehasnoobligationtoprovidemultipleaccountsto Customer. 1.4 Modifications. (a) TotheServices.Googlemaymake commerciallyreasonableupdatestotheServicesfromtime totime.GooglewillinformCustomerifGooglemakesa materialchangetotheServicesthathasamaterialimpact onCustomer'suseoftheServicesprovidedthatCustomer hassubscribedwithGoogletobeinformedaboutsuch change. (b) TotheAgreement.Googlemaymake changestothisAgreement(includingtheURLTerms)and pricingfromtimetotime.Unlessotherwisenotedby Google,materialchangestotheAgreementwillbecome effective30daysaftertheyareposted,excepttothe extentthechangesapplytonewfunctionalityortheCloud DataProcessingAddendum,orarerequiredbyapplicable law,inwhichcasetheywillbeeffectiveimmediately. Googlewillprovideatleast90days'advancenoticefor materiallyadversechangestoanySLAsby(i)sendingan emailtotheNotificationEmailAddress;(ii)postinga noticeintheAdminConsole;or(iii)postinganoticeto theapplicableSLAwebpage.IfCustomerdoesnotagreeto therevisedAgreement,Customermaystopusingthe Services.CustomermayalsoterminatethisAgreementfor convenienceunderSection8.4(Terminationfor Convenience).Customer'scontinueduseoftheServices aftersuchmaterialchangewillconstituteCustomer's consenttosuchchanges.Googlewillpostanymodification tothisAgreement to https://cloud.google.com/terms/. (c) TotheCloudDataProcessingAddendum. GooglemayonlychangetheCloudDataProcessing Addendumwheresuchchangeisrequiredtocomplywith applicablelaw,isexpresslypermittedbytheCloudData ProcessingAddendum,or: (i)iscommerciallyreasonable; (ii)doesnotresultinamaterialreductionofthe securityoftheServices; (iii)doesnotexpandthescopeoforremoveany restrictionsonGoogle'sprocessingof"CustomerPersonal Data,"asdescribedinthe"ScopeofProcessing"Section oftheCloudDataProcessingAddendum;and (iv)doesnototherwisehaveamaterialadverseimpacton Customer'srightsundertheCloudDataProcessing Addendum. IfGooglemakesamaterialchangetotheCloudData ProcessingAddenduminaccordancewiththisSection1.4(c) (Modifications:TotheCloudDataProcessingAddendum), Googlewillpostthechangeatthewebpagecontainingthe CloudDataProcessingAddendum. (d) DiscontinuationofServices.Google willnotifyCustomeratleast12monthsbefore discontinuinganyService(orassociatedmaterial functionality)unlessGooglereplacessuchdiscontinued ServiceorfunctionalitywithamateriallysimilarService orfunctionality.Further,GooglewillnotifyCustomerat least12monthsbeforesignificantlymodifyinga Customer-facingGoogleAPIinabackwards-incompatible manner.NothinginthisSection1.4(d)(Discontinuationof Services)limitsGoogle'sabilitytomakechangesrequired tocomplywithapplicablelaw,addressamaterialsecurity risk,oravoidasubstantialeconomicormaterial technicalburden.ThisSection1.4(d)(Discontinuationof Services)doesnotapplytopre-generalavailability Services,offerings,orfunctionality. 1.5 Software.GooglemaymakeSoftware availabletoCustomer,includingthird-partysoftware. Customer'suseofanySoftwareissubjecttothe applicableprovisionsintheServiceSpecificTerms. 2. PaymentTerms. 2.1 OnlineBilling.Attheendofthe applicableFeeAccrualPeriodorasotherwisestatedby GoogleintheAdminConsole,Googlewillissuean electronicbilltoCustomerforallchargesbasedon Customer'suseoftheServicesduringtheapplicableFee AccrualPeriod(including,ifapplicable,therelevant FeesforTSS).IfGoogledeterminesthatCustomerisat riskofnon-paymentorthatCustomer’sAccountis potentiallyfraudulent,thenGooglemayinvoiceCustomer morefrequently.CustomerwillpayallFeesinthe currencystatedintheinvoice.IfCustomerelectstopay bycreditcard,debitcard,orothernon-invoicedformof payment,Googlewillcharge(andCustomerwillpay)all FeesimmediatelyattheendoftheFeeAccrualPeriod.If Customerelectstopaybyinvoice(andGoogleagrees),all Feesaredueasstatedintheinvoice.Customer's obligationtopayallFeesisnon-cancellable.Google's measurementofCustomer'suseoftheServicesisfinal. Googlehasnoobligationtoprovidemultiplebills. Paymentsmadeviawiretransfermustincludethebank informationprovidedbyGoogle. 2.2 Taxes. (a)CustomerisresponsibleforanyTaxes,andwillpay GooglefortheServiceswithoutanyreductionforTaxes. IfGoogleisobligatedtocollectorpayanyTaxes,the TaxeswillbeinvoicedtoCustomerandCustomerwillpay suchTaxestoGoogle,unlessCustomerprovidesGooglewith atimelyandvalidtaxexemptioncertificateinrespectof thoseTaxes. (b)CustomerwillprovideGooglewithanyapplicabletax identificationinformationthatGooglemayrequireunder applicablelawtoensureitscompliancewithapplicable taxregulationsandauthoritiesinapplicable jurisdictions.Customerwillbeliabletopay(or reimburseGooglefor)anytaxes,interest,penalties,or finesarisingoutofanymis-declarationbyCustomer. 2.3 PaymentDisputes&Refunds.Any paymentdisputesmustbesubmittedbeforethepaymentdue date.Ifthepartiesdeterminethatcertainbilling inaccuraciesareattributabletoGoogle,Googlewillnot issueacorrectedinvoice,butwillinsteadissueacredit memospecifyingtheincorrectamountintheaffected invoice.Ifadisputedinvoicehasnotyetbeenpaid, Googlewillapplythecreditmemoamounttoadisputed invoiceandCustomerwillberesponsibleforpayingthe resultingnetbalancedueonthatinvoice.Refunds(if any)areatGoogle'sdiscretionandwillonlybeinthe formofcreditfortheServices.NothinginthisAgreement obligatesGoogletoextendcredittoanyparty. 2.4 DelinquentPayments;Suspension.Late paymentsmaybearinterestattherateof1.5%permonth (orthehighestratepermittedbylaw,ifless)fromthe paymentduedateuntilpaidinfull.Customerwillbe responsibleforallreasonableexpenses(including attorneys'fees)incurredbyGoogleincollectingsuch delinquentamounts.Further,ifCustomer'spaymentforthe Servicesisoverdue,GooglemaySuspendtheServices. 2.5 NoPurchaseOrderNumberRequired. CustomerisobligatedtopayallapplicableFeeswithout anyrequirementforGoogletoprovideapurchaseorder numberonGoogle'sinvoice(orotherwise). 3. CustomerObligations. 3.1 Compliance.Customerwill(a)ensure thatCustomeranditsEndUsers'useoftheServices complieswiththeAgreement,(b)usecommercially reasonableeffortstopreventandterminateany unauthorizeduseof,oraccessto,theServices,and(c) promptlynotifyGoogleofanyunauthorizeduseof,or accessto,theServices,Account,orCustomer'spassword ofwhichCustomerbecomesaware.Googlereservestheright toinvestigateanypotentialviolationoftheAUPby Customer,whichmayincludereviewingCustomer Applications,CustomerData,orProjects. 3.2 Privacy.Customerisresponsiblefor anyconsentsandnoticesrequiredtopermit(a)Customer's useandreceiptoftheServicesand(b)Google's accessing,storing,andprocessingofdataprovidedby Customer(includingCustomerData,ifapplicable)under theAgreement. 3.3 Restrictions.Customerwillnot,and willnotallowEndUsersto,(a)copy,modify,orcreatea derivativeworkoftheServices;(b)reverseengineer, decompile,translate,disassemble,orotherwiseattemptto extractanyorallofthesourcecodeof,theServices (excepttotheextentsuchrestrictionisexpressly prohibitedbyapplicablelaw);(c)sell,resell, sublicense,transfer,ordistributeanyorallofthe Services;or(d)accessorusetheServices(i)forHigh RiskActivities;(ii)inviolationoftheAUP;(iii)ina mannerintendedtoavoidincurringFees(including creatingmultipleCustomerApplications,Accounts,or ProjectstosimulateoractasasingleCustomer Application,Account,orProject(respectively))orto circumventService-specificusagelimitsorquotas;(iv) toengageincryptocurrencyminingwithoutGoogle'sprior writtenapproval;(v)tooperateorenableany telecommunicationsserviceorinconnectionwithany CustomerApplicationthatallowsEndUserstoplacecalls ortoreceivecallsfromanypublicswitchedtelephone network,unlessotherwisedescribedintheService SpecificTerms;(vi)formaterialsoractivitiesthatare subjecttotheInternationalTrafficinArmsRegulations (ITAR)maintainedbytheUnitedStatesDepartmentof State;(vii)inamannerthatbreaches,orcausesthe breachof,ExportControlLaws;or(viii)totransmit, store,orprocesshealthinformationsubjecttoUnited StatesHIPAAregulationsexceptaspermittedbyan executedHIPAABAA. 3.4 Documentation.Googlemayprovide DocumentationforCustomer'suseoftheServices. 3.5 Copyright.Googlerespondstonotices ofallegedcopyrightinfringementandwillterminatethe Accountsofrepeatinfringersinappropriatecircumstances asrequiredtomaintainsafeharborforonlineservice providersundertheU.S.DigitalMillenniumCopyrightAct. 4. Suspension. 4.1 AUPViolations.IfGooglebecomesaware thatCustomer'soranyEndUser'suseoftheServices violatestheAUP,GooglewillnotifyCustomerandrequest thatCustomercorrecttheviolation.IfCustomerfailsto correcttheviolationwithin24hoursofGoogle'srequest, thenGooglemaySuspendallorpartofCustomer'suseof theServicesuntiltheviolationiscorrected. 4.2 OtherSuspension.Notwithstanding Section4.1(AUPViolations),Googlemayimmediately SuspendallorpartofCustomer'suseoftheServicesif (a)GooglereasonablybelievesCustomer'soranyEnd User'suseoftheServicescouldadverselyimpactthe Services,othercustomers'ortheirendusers'useofthe Services,ortheGooglenetworkorserversusedtoprovide theServices;(b)thereissuspectedunauthorized third-partyaccesstotheServices;(c)Googlereasonably believesthatimmediateSuspensionisrequiredtocomply withanyapplicablelaw;or(d)Customerisinbreachof Section3.3(Restrictions)ortheServiceSpecificTerms. GooglewillliftanysuchSuspensionwhenthe circumstancesgivingrisetotheSuspensionhavebeen resolved.AtCustomer'srequest,Googlewill,unless prohibitedbyapplicablelaw,notifyCustomerofthebasis fortheSuspensionassoonasisreasonablypossible. 5. IntellectualPropertyRights;Protection ofCustomerData;Feedback. 5.1 IntellectualPropertyRights.Exceptas expresslystatedinthisAgreement,thisAgreementdoes notgranteitherpartyanyrights,impliedorotherwise, totheother'scontentoranyoftheother'sintellectual property.Asbetweentheparties,Customerownsall IntellectualPropertyRightsinCustomerDataandCustomer Applications,andGoogleownsallIntellectualProperty RightsintheServicesandSoftware. 5.2 ProtectionofCustomerData.Google willonlyaccessoruseCustomerDatatoprovidethe ServicesandTSStoCustomerorasotherwiseinstructedby CustomerandwillnotuseitforanyotherGoogle products,services,oradvertising.Googlehasimplemented andwillmaintainadministrative,physical,andtechnical safeguardstoprotectCustomerData,asfurtherdescribed intheCloudDataProcessingAddendum. 5.3 CustomerFeedback.Atitsoption, Customermayprovidefeedbackorsuggestionsaboutthe ServicestoGoogle("Feedback").IfCustomerprovides Feedback,thenGoogleanditsAffiliatesmayusethat Feedbackwithoutrestrictionandwithoutobligationto Customer. 6. TechnicalSupportServices. 6.1 ByCustomer.Customerisresponsible fortechnicalsupportofitsCustomerApplicationsand Projects. 6.2 ByGoogle.Subjecttopaymentof applicablesupportFees,GooglewillprovideTSSto CustomerduringtheTerminaccordancewiththeTSS Guidelines.CertainTSSlevelsincludeaminimumrecurring Feeasdescribed at https://cloud.google.com/skus. IfCustomerdowngradesitsTSSlevelduringanycalendar month,GooglemaycontinuetoprovideTSSatthesame levelandforthesameTSSFeesasappliedbeforethe downgradefortheremainderofthatmonth. 7. ConfidentialInformation. 7.1 Obligations.Therecipientwillonly usethedisclosingparty'sConfidentialInformationto exercisetherecipient'srightsandfulfillits obligationsundertheAgreement,andwillusereasonable caretoprotectagainstthedisclosureofthedisclosing party'sConfidentialInformation.Therecipientmay discloseConfidentialInformationonlytoitsAffiliates, employees,agents,orprofessionaladvisors("Delegates") whoneedtoknowitandwhohaveagreedinwriting(orin thecaseofprofessionaladvisorsareotherwisebound)to keepitconfidential.Therecipientwillensurethatits DelegatesusethereceivedConfidentialInformationonly toexerciserightsandfulfillobligationsunderthis Agreement. 7.2 RequiredDisclosure.Notwithstandingany provisiontothecontraryinthisAgreement,therecipient oritsAffiliatemayalsodiscloseConfidential InformationtotheextentrequiredbyapplicableLegal Process;providedthattherecipientoritsAffiliateuses commerciallyreasonableeffortsto(a)promptlynotifythe otherpartybeforeanysuchdisclosureofitsConfidential Information,and(b)complywiththeotherparty's reasonablerequestsregardingitseffortstoopposethe disclosure.Notwithstandingtheforegoing,subsections(a) and(b)abovewillnotapplyiftherecipientdetermines thatcomplyingwith(a)and(b)could(i)resultina violationofLegalProcess;(ii)obstructagovernmental investigation;or(iii)leadtodeathorseriousphysical harmtoanindividual. 8. TermandTermination. 8.1 AgreementTerm.Thetermofthis Agreement(the"Term")willbeginontheEffectiveDate andcontinueuntiltheAgreementisterminatedasstated inthisSection8(TermandTermination). 8.2 TerminationforBreach.Totheextent permittedbyapplicablelaw,eitherpartymayterminate thisAgreementimmediatelyonwrittennoticeif(a)the otherpartyisinmaterialbreachoftheAgreementand failstocurethatbreachwithin30daysafterreceiptof writtennoticeofthebreachor(b)theotherpartyceases itsbusinessoperationsorbecomessubjecttoinsolvency proceedingsandtheproceedingsarenotdismissedwithin 90days. 8.3 TerminationforInactivity.Google reservestherighttoterminatetheprovisionofthe ServicestoaProjectupon30days'advancenoticeif,for aperiodof60days(a)Customerhasnotaccessedthe AdminConsoleortheProjecthashadnonetworkactivity and(b)suchProjecthasnotincurredanyFeesforsuch Services. 8.4 TerminationforConvenience.Customer maystopusingtheServicesatanytime.Customermay terminatethisAgreementforitsconvenienceatanytime onpriorwrittennoticeand,upontermination,mustcease useoftheapplicableServices.Googlemayterminatethis Agreementforitsconvenienceatanytimewith30days' priorwrittennoticetoCustomer. 8.5 TerminationDuetoApplicableLaw;Violation ofLaws.GooglemayterminatethisAgreement immediatelyonwrittennoticeifGooglereasonably believesthat(a)continuedprovisionofanyServiceused byCustomerwouldviolateapplicablelaw(s)or(b) CustomerhasviolatedorcausedGoogletoviolateany Anti-BriberyLawsorExportControlLaws. 8.6 EffectofTermination.IftheAgreement isterminated,then(a)allrightsandaccesstothe Serviceswillterminate(includingaccesstoCustomer Data,ifapplicable),unlessotherwisedescribedinthis Agreement,and(b)allFeesowedbyCustomertoGoogleare immediatelydueuponCustomer’sreceiptofthefinal electronicbillorasstatedinthefinalinvoice. 9. Publicity.Customermaystate publiclythatitisaGooglecustomeranddisplayGoogle BrandFeaturesinaccordancewiththeTrademark Guidelines.GooglemayuseCustomer'snameandBrand Featuresinonlineorofflinepromotionalmaterialsofthe Services.Eachpartymayusetheotherparty’sBrand FeaturesonlyaspermittedintheAgreement.Anyuseofa party'sBrandFeatureswillinuretothebenefitofthe partyholdingIntellectualPropertyRightstothoseBrand Features. 10. RepresentationsandWarranties. Eachpartyrepresentsandwarrantsthat(a)ithasfull powerandauthoritytoenterintotheAgreement,and(b) itwillcomplywithalllawsapplicabletoitsprovision, receipt,oruseoftheServices,asapplicable. 11. Disclaimer.Exceptasexpressly providedforintheAgreement,Googledoesnotmakeand expresslydisclaimstothefullestextentpermittedby applicablelaw(a)anywarrantiesofanykind,whether express,implied,statutory,orotherwise,including warrantiesofmerchantability,fitnessforaparticular use,title,noninfringement,orerror-freeor uninterrupteduseoftheServicesorSoftwareand(b) anyrepresentationsaboutcontentorinformation accessiblethroughtheServices. 12. LimitationofLiability. 12.1 LimitationonIndirect Liability.Totheextentpermittedbyapplicable lawandsubjecttoSection12.3(UnlimitedLiabilities), neitherpartywillhaveanyLiabilityarisingoutofor relatingtotheAgreementforany(a)indirect, consequential,special,incidental,orpunitivedamages or(b)lostrevenues,profits,savings,or goodwill. 12.2 LimitationonAmountof Liability.Eachparty'stotalaggregateLiability fordamagesarisingoutoforrelatingtotheAgreement islimitedtotheFeesCustomerpaidduringthe12month periodbeforetheeventgivingrisetoLiability,except Google’stotalaggregateLiabilityfordamagesarising outoforrelatedtoServicesorSoftwareprovidedfree ofchargeislimitedto$5,000. 12.3 UnlimitedLiabilities.Nothing intheAgreementexcludesorlimitseitherparty's Liabilityfor: (a)itsfraudorfraudulent misrepresentation; (b)itsobligationsunderSection13 (Indemnification); (c)itsinfringementoftheotherparty's IntellectualPropertyRights; (d)itspaymentobligationsundertheAgreement; or (e)mattersforwhichliabilitycannotbe excludedorlimitedunderapplicablelaw. 13. Indemnification. 13.1 GoogleIndemnificationObligations. GooglewilldefendCustomeranditsAffiliatesusingthe ServicesunderCustomer’sAccountandindemnifythem againstIndemnifiedLiabilitiesinanyThird-PartyLegal Proceedingtotheextentarisingfromanallegationthat anyServiceoranyGoogleBrandFeature,ineachcaseused inaccordancewiththeAgreement,infringesthethird party'sIntellectualPropertyRights. 13.2 CustomerIndemnificationObligations. CustomerwilldefendGoogleanditsAffiliatesproviding theServicesandindemnifythemagainstIndemnified LiabilitiesinanyThird-PartyLegalProceedingtothe extentarisingfrom(a)anyCustomerApplication,Project, CustomerData,orCustomerBrandFeatures;or(b) Customer'soranEndUser'suseoftheServicesinbreach oftheAUPorSection3.3(Restrictions). 13.3 Exclusions.Sections13.1(Google IndemnificationObligations)and13.2(Customer IndemnificationObligations)willnotapplytotheextent theunderlyingallegationarisesfrom(a)theindemnified party'sbreachoftheAgreement,(b)acombinationofthe indemnifyingparty'stechnologyorBrandFeatureswith materialsnotprovidedbytheindemnifyingpartyunderthe Agreement,unlessthecombinationisrequiredbythe Agreement,and(c)inthecaseofGoogleoranyofits Affiliatesastheindemnifyingparty,anyServices providedtoCustomerfreeofcharge. 13.4 Conditions.Sections13.1(Google IndemnificationObligations)and13.2(Customer IndemnificationObligations)areconditionedonthe following: (a)Anyindemnifiedpartymustpromptlynotifythe indemnifyingpartyinwritingofanyallegation(s)that precededtheThird-PartyLegalProceedingandcooperate reasonablywiththeindemnifyingpartytoresolvethe allegation(s)andThird-PartyLegalProceeding.Ifbreach ofthisSection13.4(a)prejudicesthedefenseofthe Third-PartyLegalProceeding,theindemnifyingparty's obligationsunderSection13.1(GoogleIndemnification Obligations)or13.2(CustomerIndemnification Obligations)(asapplicable)willbereducedinproportion totheprejudice. (b)Anyindemnifiedpartymusttendersolecontrolofthe indemnifiedportionoftheThird-PartyLegalProceedingto theindemnifyingparty,subjecttothefollowing:(i)the indemnifiedpartymayappointitsownnon-controlling counsel,atitsownexpense;and(ii)anysettlement requiringtheindemnifiedpartytoadmitliability,pay money,ortake(orrefrainfromtaking)anyaction,will requiretheindemnifiedparty'spriorwrittenconsent,not tobeunreasonablywithheld,conditioned,ordelayed. 13.5 Remedies. (a)IfGooglereasonablybelievestheServicesmight infringeathirdparty'sIntellectualPropertyRights, thenGooglemay,atitssoleoptionandexpense(i) procuretherightforCustomertocontinueusingthe Services;(ii)modifytheServicestomakethem non-infringingwithoutmateriallyreducingtheir functionality;or(iii)replacetheServiceswitha non-infringing,functionallyequivalentalternative. (b)IfGoogledoesnotbelievetheremediesinSection 13.5(a)arecommerciallyreasonable,thenGooglemay SuspendorterminateCustomer'suseoftheimpacted Services. 13.6 SoleRightsandObligations.Without affectingeitherparty'sterminationrights,thisSection 13(Indemnification)statestheparties'soleand exclusiveremedyunderthisAgreementforanythird-party allegationsofIntellectualPropertyRightsinfringement coveredbythisSection13(Indemnification). 14. Miscellaneous. 14.1 Notices.UndertheAgreement,notices toCustomermustbesenttotheNotificationEmailAddress andnoticestoGooglemustbesent to [email protected]. Noticewillbetreatedasreceivedwhentheemailissent. CustomerisresponsibleforkeepingitsNotificationEmail AddresscurrentthroughouttheTerm. 14.2 Emails.Thepartiesmayuseemailsto satisfywrittenapprovalandconsentrequirementsunder theAgreement. 14.3 Assignment.Neitherpartymayassign anypartofthisAgreementwithoutthewrittenconsentof theother,excepttoanAffiliatewhere(a)theassignee hasagreedinwritingtobeboundbythetermsofthis Agreement,and(b)theassigningpartyhasnotifiedthe otherpartyoftheassignment.Anyotherattempttoassign isvoid.IfCustomerassignsthisAgreementtoan Affiliateinanotherjurisdictionsuchthatthereisa changeintheGooglecontractingentityasdefined at https://cloud.google.com/terms/google-entity (i)thisAgreementisautomaticallyassignedtothenew Googlecontractingentity;and(ii)iftheAffiliate’s billingaccountisinBrazil,theapplicabletermsof servicelinkedabove,andnotthisAgreement,willapply fromthemomentoftheassignment. 14.4 ChangeofControl.Ifaparty experiencesachangeofControlotherthanaspartofan internalrestructuringorreorganization(forexample, throughastockpurchaseorsale,merger,orotherformof corporatetransaction),thatpartywillgivewritten noticetotheotherpartywithin30daysafterthechange ofControl. 14.5 ForceMajeure.Neitherpartywillbe liableforfailureordelayinperformancetotheextent causedbycircumstancesbeyonditsreasonablecontrol, includingactsofGod,naturaldisasters,terrorism, riots,orwar. 14.6 Subcontracting.Googlemaysubcontract obligationsundertheAgreementbutwillremainliableto Customerforanysubcontractedobligations. 14.7 NoAgency.ThisAgreementdoesnot createanyagency,partnership,orjointventurebetween theparties. 14.8 NoWaiver.Neitherpartywillbe treatedashavingwaivedanyrightsbynotexercising(or delayingtheexerciseof)anyrightsunderthisAgreement. 14.9 Severability.Ifanypartofthis Agreementisinvalid,illegal,orunenforceable,therest oftheAgreementwillremainineffect. 14.10 NoThird-PartyBeneficiaries.This Agreementdoesnotconferanybenefitsonanythirdparty unlessitexpresslystatesthatitdoes. 14.11 EquitableRelief.Nothinginthis Agreementwilllimiteitherparty'sabilitytoseek equitablerelief. 14.12 U.S.GoverningLaw. "Account"meansCustomer'sGoogleCloudPlatform account. "AdminConsole"meanstheonlineconsole(s)or dashboardprovidedbyGoogletoCustomerfor administeringtheServices. "Affiliate"meansanyentitythatdirectlyor indirectlyControls,isControlledby,orisunder commonControlwithaparty. "Anti-BriberyLaws"meansallapplicablecommercial andpublicanti-briberylaws,includingtheU.S. ForeignCorruptPracticesActof1977andtheUK BriberyAct2010,thatprohibitcorruptoffersof anythingofvalue,eitherdirectlyorindirectly,to anyone,includinggovernmentofficials,toobtainor keepbusinessortosecureanyotherimproper commercialadvantage.Governmentofficialsinclude: anygovernmentemployees,candidatesforpublic office,membersofroyalfamilies,andemployeesof government-ownedorgovernment-controlledcompanies, publicinternationalorganizations,andpolitical parties. (a)ALLCLAIMSARISINGOUTOFORRELATINGTOTHIS AGREEMENTORANYRELATEDGOOGLEPRODUCTSORSERVICES (INCLUDINGANYDISPUTEREGARDINGTHEINTERPRETATIONOR PERFORMANCEOFTHEAGREEMENT)("Dispute")WILLBEGOVERNED BYTHELAWSOFTHESTATEOFCALIFORNIA,USA,EXCLUDING CALIFORNIA'SCONFLICTSOFLAWSRULES. (b)Thepartieswilltryingoodfaithtosettleany Disputewithin30daysaftertheDisputearises.Ifthe Disputeisnotresolvedwithin30days,itmustbe resolvedbyarbitrationbytheAmericanArbitration Association’sInternationalCentreforDisputeResolution inaccordancewithitsExpeditedCommercialRulesinforce asofthedateofthisAgreement("Rules"). (c)Thepartieswillmutuallyselectonearbitrator.The arbitrationwillbeconductedinEnglishinSantaClara County,California,USA. (d)Eitherpartymayapplytoanycompetentcourtfor injunctivereliefnecessarytoprotectitsrightspending resolutionofthearbitration.Thearbitratormayorder equitableorinjunctivereliefconsistentwiththe remediesandlimitationsintheAgreement. (e)Subjecttotheconfidentialityrequirementsin Subsection(g),eitherpartymaypetitionanycompetent courttoissueanyordernecessarytoprotectthatparty's rightsorproperty;thispetitionwillnotbeconsidereda violationorwaiverofthisgoverninglawandarbitration sectionandwillnotaffectthearbitrator’spowers, includingthepowertoreviewthejudicialdecision.The partiesstipulatethatthecourtsofSantaClaraCounty, California,USA,arecompetenttograntanyorderunder thisSubsection14.12(e). (f)Thearbitralawardwillbefinalandbindingonthe partiesanditsexecutionmaybepresentedinany competentcourt,includinganycourtwithjurisdiction overeitherpartyoranyofitsproperty. (g)Anyarbitrationproceedingconductedinaccordance withthisSection14.12(GoverningLaw;Arbitration)will beconsideredConfidentialInformationunderSection7 (ConfidentialInformation),including:(i)theexistence of,(ii)anyinformationdisclosedduring,and(iii)any oralcommunicationsordocumentsrelatedto,the arbitrationproceedings.Inadditiontothedisclosure rightsunderSection7(ConfidentialInformation),the partiesmaydisclosetheinformationdescribedinthis Subsection14.12(g)toacompetentcourtasmaybe necessarytofileanyorderunderSubsection14.12(e)or executeanyarbitraldecision,butthepartiesmust requestthatthosejudicialproceedingsbe conducted incamera (inprivate). (h)Thepartieswillpaythearbitrator’sfees,the arbitrator'sappointedexperts'feesandexpenses,andthe arbitrationcenter'sadministrativeexpensesinaccordance withtheRules.Initsfinaldecision,thearbitratorwill determinethenon-prevailingparty'sobligationto reimbursetheamountpaidinadvancebytheprevailing partyforthesefees. (i)Eachpartywillbearitsownlawyers’andexperts’ feesandexpenses,regardlessofthearbitrator’sfinal decisionregardingtheDispute. AsiaPacific-India GoogleCloudIndiahasbeenappointedbyGoogleAsia PacificPte.Ltd.(‘GAP’)asanon-exclusiveresellerof theServices(asdefinedbelow)inIndia.Foravoidanceof anydoubts,whilstintheAgreement,boththeentities havebeenreferred toas‘Google,’itishereby clarifiedthatwherevertheprovisionsrefertoGooglefor salesorrightsandobligationsinrelationthereto (includinganytermsrelatingtoinvoicingforsaleof services,creditlimit,terminationofthisAgreement, etc.), ‘Google’shallmeanGoogleCloudIndia,and whereverintheagreement,theprovisionsreferto  ‘Google’asaprovideroftheServicesorrightsand obligationsinrelationtheretoshallmean ‘Google AsiaPacificPteLtd’or‘GAP’. GoogleCloudIndiamayexecuteOrderForm(s)referencing theAgreement,buttheOrderFormwillformaseparate contractbetweenGoogleCloudIndiaandtheCustomer,and incorporateallofthetermsofthisAgreementandthe applicableServiceSchedulebyreference.Underthe agreement,whereas,asaresellerofservices,Google CloudIndiapurchasestheservicesfromGAPforresaleto thecustomer, theentireobligationtoprovidesuch servicesundertheServiceSchedulewillbemetbyGAP and assuch,GoogleCloudIndiawillnothaveany obligationundertheServiceSchedule. Section2(PaymentTerms)isreplacedasfollows: 2.PaymentTerms. 2.1Payment.  (a)Googlewillinvoice CustomerfortheFees.CustomerwillpayGoogleall invoicedamountsbythePaymentDueDate.Allpaymentsare dueinthecurrencydescribedintheinvoice.Wire transferpaymentsmustincludethebankinformation describedintheinvoice. 2.2Taxes.  (a)Inconsiderationofthe saleofServices,CustomeragreestopaytoGoogle,the Feesplusanyapplicabletaxes.IfGoogleisobligatedto collectorpayTaxes,theTaxeswillbeinvoicedto CustomeralongwiththeFeesforsaleofservices,unless CustomerprovidesGoogleCloudIndiawithatimelyand validtaxexemptioncertificateauthorizedbythe appropriatetaxingauthority. (b)Ifrequiredunderthe applicablelaw,CustomerwillprovideGooglewith applicabletaxidentificationinformation(Goodsand ServicesTaxIdentificationNumber(“GSTIN”),location wheretheServiceswouldbereceivedbythecustomer,tax statusetc.)thatGooglemayrequiretoensureits compliancewithapplicabletaxregulationsinIndia.The Customeracknowledgesthatallthedetailsprovidedsuch astheGSTIN,locationwheretheServiceswouldbe receivedbytheCustomer,taxstatusetc.arecorrect.The addressandGSTINprovidedareofthelocationwherethe ServiceswouldbereceivedbytheCustomer.Customerwill beliabletopay(orreimburseGooglefor)anytaxes, interestorfinesarisingoutofanymis-declarationby theCustomer. (c)IfCustomerisrequired bylawtowithholdanyamountsforIncomeTaxonits paymentstoGoogleforsaleofservices,Customermust provideGoogleinatimelymannerwithawithholdingtax certificateorotherappropriatedocumentationand undertaketocarryoutthenecessarycompliancesasper theapplicabletaxlawsinIndiatoenableGoogletoclaim creditofsuchwithholdingtaxesandprovidesupport,as mayberequiredforsuchpurpose. 2.3InvoiceDisputes.  (a)Customermustsubmitany [email protected] PaymentDueDate.IfthepartiesdeterminethatFeeswere incorrectlyinvoiced,thenGooglewillissueacredit equaltotheagreedamount. Section14.12(U.S.GoverningLaw)isreplacedas follows: 14.12GoverningLaw.  Allclaimsarisingoutofor relatingtotheAgreementwillbegovernedbylawsof India,excludingthatstate’sconflictoflawsrules,and willbelitigatedexclusivelyinthecourtsofNewDelhi; thepartiesconsenttoexclusivejurisdictioninthose courts. Thedefinitionof"Taxes"underSection14.19 (Definitions)isreplacedasfollows: “Taxes”meansall taxesaspertheapplicablelawincludingbutnotlimited toanyduties,ortaxes(otherthanincometaxonincome), includingindirecttaxessuchasgoodsandservicestax (“GST”)orthetaxesassociatedwiththepurchaseofthe Services PreviousversionsoftheTermsofServiceforCustomers withbillingaccountsinIndiaare here. AsiaPacific-Indonesia AnewSection8.6isadded: 8.6 TerminationWaiver.Thepartiesagree towaiveanyprovisionsunderanyapplicablelawstothe extentthatacourtdecisionororderisrequiredforthe cancellationofthisAgreement. TheIndonesianversionofthisAgreementis accessible here andSection14.18isreplacedasfollows: 14.18 ConflictingLanguages.ThisAgreement ismadeintheIndonesianandtheEnglishlanguage.Both versionsareequallyauthentic.Intheeventofany inconsistencyordifferentinterpretationbetweenthe IndonesianversionandtheEnglishversion,theparties agreetoamendtheIndonesianversiontomaketherelevant partoftheIndonesianversionconsistentwiththe relevantpartoftheEnglishversion. Europe,MiddleEast,Africa-Algeria,Bahrain,Jordan,Kuwait,Libya,Mauritania,Morocco,Oman,Palestine,Qatar,Tunisia,Yemen,Egypt,Israel,UnitedArabEmiratesandLebanon AnewSection8.7isaddedasfollows: 8.7NorequirementforCourtOrder.Bothparties acknowledgeandagreethatacourtorderwillnotbe requiredtogiveeffecttoanyterminationoramendmentof theAgreementortogiveeffecttoanyothersectionof theAgreement. Section14.12(U.S.GoverningLaw)isreplacedas follows: 14.12GoverningLaw;Arbitration.
