tionwiththedisbursementofaloan,assetforthintheReceivablesAgreementrelatedtosuchReceivable,whicharedeductedfromtheinitialamountdisbursedtosuchReceivablesObligor,includingthe“OriginationFee”setforthontheapplicableReceivableAgreement.ManagementFeesmeans,withrespecttoeachProjectforanyperiod,anamountequaltothegreaterof(i)actualmanagementfeespayablewithrespecttheretoand(ii)threepercent(3%)perannumontheaggregatebaserentandpercentagerentdueandpayableunderleasesatsuchProject.OriginationFeesmeansthefeepayabletotheAdvisorpursuanttoSection8.02plusallotherfeesandcommissions,excludingAcquisitionExpenses,paidbyanyPersontoanyPersoninconnectionwithmakingorinvestinginanyLoanbytheCompany.AdministrationFeesThesumof(i)theServicingFee,(ii)theMasterServicingFeeand(iii)theCreditRiskManagementFee.L/CFeesmeans,withrespecttoanL/C,theamountcalculatedbymultiplying(a)thefaceamountofthatL/CbytherateforcalculationoftheL/CFeespecifiedinSection2.6(a)by(b)afraction,thenumeratorofwhichisthedurationofthetermofthatL/Candthedenominatorofwhichisthenumberofdaysinthecalendaryearinquestion.CostReimbursementmeansacontractwhichprovidesforafeeotherthanafeebasedonapercentageofcostandunderwhichacontractorisreimbursedforcostswhichareallowableandallocableinaccordancewiththecontractterms.AdvanceReimbursementAmountAsdefinedinSection5.01(b)(ii).PaymentDateAdvanceReimbursementhasthemeaningsetforthinSection8.03(a)(iii)(A)ofthe20[•]-[•]ServicingSupplement.Workout-DelayedReimbursementAmountsWithrespecttoanyMortgageLoan,theamountofanyAdvancesmadewithrespecttosuchMortgageLoanonorbeforethedatesuchMortgageLoanbecomes(or,butforthemakingofthreePeriodicPaymentsunderitsmodifiedterms,wouldthenconstitute)aCorrectedLoan,togetherwith(totheextentaccruedandunpaid)interestonsuchAdvances,totheextentthat(i)suchAdvance(andaccruedandunpaidinterestthereon)isnotreimbursedtothePersonwhomadesuchAdvanceonorbeforethedate,ifany,onwhichMortgageLoanbecomesaCorrectedLoanand(ii)theamountofsuchAdvance(andaccruedandunpaidinterestthereon)becomesanobligationoftherelatedMortgagortopaysuchamountunderthetermsofthemodifiedloandocuments.ThatanyamountconstitutesalloraportionofanyWorkout-DelayedReimbursementAmountshallnotinanymannerlimittherightofanyPersonhereundertodetermineinthefuturethatsuchamountinsteadconstitutesaNonrecoverableAdvance.AgentFeeshasthemeaningassignedtosuchterminSection2.10(c).ProcessingFeesor“AdministrativeFees”meansthefeescharged,byHomeCredit,totheCustomerforprovidingthefinancingfacility.Suchfee/sshallbepartoftheTotalCashPaymentashereindefined;AdminFeesmeansthecostsincurredbytheAuthorityindealingwithMIFailurescalculatedinaccordancewiththetariffofadministrationchargespublishedbytheAuthority;CommitmentFeesmeansthefeesrequiredunderSection2.7(a).DrawingFeemeans,withrespecttoeachDraftdrawnbyTCCIandpurchasedbyanyPersononanyDrawingDateandsubjecttotheprovisionsofSection2.15,anamountequaltotheproductof(i)theApplicableRatetimestheaggregateFaceAmountoftheDraft,multipliedby(ii)afractionthenumeratorofwhichisthenumberofdaysinthetermtomaturityofsuchDraftandthedenominatorofwhichis365or366,asapplicable.LiquidityExpensesmeansallLiquidityObligationsotherthan(i)theprincipalamountofanyDrawingsundertheLiquidityFacilitiesand(ii)anyinterestaccruedonanyLiquidityObligations.
